Net Working Capital Amount definition

Net Working Capital Amount means, with respect to a Participating McNeil Partnership, the excess of the Positive Excess Cash Balance of such Participating McNeil Partnership over the cash on hand of such Participating McNeil Partnership immediately prior to the Effective Time.

Net Working Capital Amount means the amount, if any, by which the Current Assets of the Company and its Subsidiaries on a consolidated basis as of the close of the Business Day immediately preceding the Closing Date exceeds or is less than the Current Liabilities of the Company and its Subsidiaries on a consolidated basis as of the close of the Business Day on the Business Day immediately preceding the Closing Date, as determined in accordance with GAAP and Section 3.6 hereof.

Net Working Capital Amount means an amount equal to the product of (a) (i) the Net Book Value of the current assets of the Business listed on Section B-2 of the Disclosure Schedule, including all cash located in the Subject Equipment as reflected in the full service change fund, less (ii) the Net Book Value of the current liabilities of the Business listed on Section B-2 of the Disclosure Schedule, in each case, as of the Closing Date and determined in accordance with the guidelines set forth on Section B-1 of the Disclosure Schedule and in accordance with the Closing Financial Information and the Agreed Financial Methodology, multiplied by (b) the Volume Percentage.

Examples of Net Working Capital Amount in a sentence

• The Aggregate Target Net Working Capital Amount is reasonable for the operation of the Facility and is consistent in all material respects with Seller’s budget for the Facility.

• Once the proceeds of Receivables retained by the Buyer equals the amount of the Receivables included in the determination of the Closing Net Working Capital Amount, all additional proceeds of Receivables shall be divided one-half to the Seller and one-half to the Buyer.

• At or before the end of the Review Period, Buyer will either (a) accept the Closing Statement, in its entirety, in which case the Closing Statement shall become final, binding and conclusive on Sellers and Buyer and the Proposed Closing Net Working Capital Amount shall be the “Closing Net Working Capital Amount,” or (b) deliver to Sellers a written notice in accordance with Section 3.3.7 disputing the Closing Statement.

• For the purposes of calculating the Closing Net Working Capital Amount, the amount of Receivables in Current Assets shall be calculated by multiplying (x) the aggregate amount of gross Receivables (excluding the Excluded Receivables) as of 11:59 p.m., New York local time, on the Closing Date, and (y) 0.50.

More Definitions of Net Working Capital Amount

Net Working Capital Amount shall have the meaning set forth in Section 3.2(g).

Net Working Capital Amount means any or all (as the context so requires) of Closing Net Working Capital, Estimated Net Working Capital, Final Net Working Capital and Net Working Capital.

Net Working Capital Amount means an amount equal to the remainder of Current Assets, minus Current Liabilities.

Net Working Capital Amount means the Net Working Capital of the Company as of the close of business on the Closing Date.

For the avoidance of doubt, the Net Working Capital Amount shall not include any amounts included in Closing Cash, Company Debt or Unpaid Transaction Expenses.

Net Working Capital Amount means the Net Working Capital of the Company and its Subsidiaries as of the Effective Time.
