Net Sales Growth means the percentage increase (if any) in net product sales for the Plan Year relative to net product sales for the fiscal year preceding the Plan Year, adjusted for the translation effect of changes in foreign exchange rates between each fiscal year, rounded to the nearest one-tenth of one percent.

Net Sales Growth means the amount of growth, measured as a percentage, in GAAP net sales as publicly reported in our earnings press release for a completed fiscal year, adjusted to exclude the effect of currency fluctuations and the financial impact of substantial acquisitions and divestitures, as compared to the prior completed fiscal year. Due to the significant impact of COVID-19, certain awards granted during fiscal year 2021 utilized a fixed baseline amount to measure growth instead of actual Net Sales Growth for the fiscal year ended December 31, 2020. While we use several financial and nonfinancial performance measures for the purpose of evaluating performance under our compensation programs, we have determined that Net Sales Growth is the financial performance measure that, in our assessment, represents the most important performance measure (that is not otherwise required to be disclosed in the table) used by us to link compensation actually paid to our NEOs, for the most recently completed fiscal year, to our performance.
