Net Issue definition

Net Issue means delivery to the Participant in complete satisfaction of the exercise, that number of shares of Stock which shall be the number exercised less a number equal in value to the exercise price as of the date of exercise. Value for purposes of exercise by delivery of previously owned Stock or by a Net Issue exercise request shall be determined in the same manner as the determination of value under the Plan for the grant of option awards.

Examples of Net Issue in a sentence

  • Such notice will identify the Transaction price (if determinable) as the fair market value of the Common Stock, for purposes of Net Issue Exercise as described in Section 3.2.

  • Right Issue means an offer of shares open for a period fixed by the directors to holders of shares of the Company or any class thereof on the register on a fixed record date in proportion to their then holdings of such shares or class thereof (subject to such exclusions or other arrangements as the directors may deem necessary or expedient in relation to fractional entitlements or having regard to any restrictions or obligations under the laws of any relevant jurisdiction or the requirements of any recognized regulatory body or any stock exchange).”

  • Net ITC means input tax credit availed on inputs and input services during the relevant period;

  • Reset Notice has the meaning specified in Section 307(b).

  • Cash Settlement shall have the meaning specified in Section 14.02(a).

  • Issue “register”, “surrender”, “transfer” or “cancel” refer to applicable entries or movements to or within DRS/Profile.

  • First Issue Date means the date on which the Issuer issues a Series of Covered Bonds for the first time pursuant to the Programme;

  • Conversion Notice has the meaning specified in Section 4.02(b).
