Net Eligible Receivables definition

Net Eligible Receivables means, at any time, (a) the Adjusted Eligible Receivables, minus (b) the then aggregate amount of all Class B Excess Concentration Balances with respect to all Obligors.
Net Eligible Receivables means, at any time, the positive difference of (a) the Concentration Adjusted Eligible Receivables, minus (b) the sum of (i) the aggregate amount paid by Obligors to the Sellers in respect of any "cash in advance" or "cash on account" arrangement included in the calculation of the Concentration Adjusted Eligible Receivables and which has not been applied against goods shipped to such Obligors, plus (ii) the PACA Amount with respect to Receivables other than Tricon Receivables, plus (iii) the aggregate amount of sales tax included in the calculation of the Concentration Adjusted Eligible Receivables, plus (iv) the aggregate amount of royalties, advertising fees or marketing fees included in the calculation of the Concentration Adjusted Eligible Receivables, plus (v) the aggregate rebilled amount of all Debit Memos included in the calculation of the Concentration Adjusted Eligible Receivables.
Net Eligible Receivables means, on any date of determination, the aggregate Outstanding Balance of all Eligible Receivables at such time less the Allowance for Volume Incentives at such time.

More Definitions of Net Eligible Receivables

Net Eligible Receivables means the aggregate Outstanding Balances of Eligible Receivables as reported in the most recent Daily Report minus the sum of (i) the aggregate amount of the Excess Concentration Balances for each Specified Obligor and its Consolidated Affiliates then in effect, (ii) the Excess Foreign Obligor Balances then in effect, (iii) the Excess Government Obligor Balances then in effect, (iv) Unapplied Cash, (v) Volume Rebate Accruals, (vi) the Trustee Reserve Amount and (vii) the dollar amount of any Liens which attach to all of the Receivables unless such Liens (x) are for taxes, assessments or charges of any governmental authority for amounts not yet due or (y) are being contested in good faith by appropriate proceedings and bonded in a manner satisfactory to the Trustee;
Net Eligible Receivables. AMOUNT shall mean the sum of the following amounts:

Net Eligible Receivables has the meaning set forth in the Purchase Agreement.
Net Eligible Receivables for purposes of this definition shall mean the Eligible Receivables net of reserves as determined by Lender with reference to the most recent Borrowing Certificate, other factors deemed relevant by Lender and otherwise in accordance with the Agreement; plus
Net Eligible Receivables means, at any time, the then aggregate Unpaid Balance of all Eligible Receivables at such time, MINUS the sum of (a) the then aggregate amount of all Excess Concentration Balances with respect to all Obligors at such time and (b) the dollar amount of any Adverse Claims then outstanding, other than Permitted Adverse Claims of the type described in clauses (i), (iv) or (v) of the definition thereof or any other Permitted Adverse Claim relating to the payment of amounts described in the definition thereof which are not yet due and payable and which have been fully bonded. For purposes of calculating Net Eligible Receivables, all Collections which have been received but have not been applied to any specific Receivables will be presumed to be Collections of Eligible Receivables.
