Net Cash Settlement Amount. For each Conversion Date, an amount equal to the cash delivered by the Buyer in excess of the principal amount of the applicable Reference Notes for such Conversion Date under the Note Indenture multiplied by the Applicable Portion of the Reference Notes, provided that such cash amount shall be determined excluding any cash that Counterparty is obligated to deliver to holders of the applicable Reference Notes as a result of any adjustments to the Conversion Rate resulting from (i) an adjustment to the Conversion Rate made pursuant to Section 4.12 of the Note Indenture by Counterparty or (ii) an adjustment to the Conversion Rate as a result of a Make Whole Premium adjustment pursuant to Section 4.01(j) of the Note Indenture. Adjustments:

Net Cash Settlement Amount means the difference between the aggregate value of all series of Source Bonds accepted for exchange and the aggregate value of all series of Destination Bonds selected by the Issuer to be exchanged for such Source Bonds, which the Issuer or each Eligible Bondholder (as the case may be) is required to pay to the other party for settlement of the exchange transaction (if any), as calculated by using the Formula.

Net Cash Settlement Amount means the Cash Settlement Amount, less the Service Awards, the Fee & Expense Award, and the Administrative Costs.
