Necessary Authorization means any right, franchise, license, permit, ----------------------- consent, approval or authorization from, or any filing or registration with, any Tribunal or any Person necessary or appropriate to enable the Borrower or any Subsidiary of the Borrower to maintain and operate its business and properties, including the sale of any Inventory.

The sole assets of each License Sub are Licenses used in the operation and construction of the paging business of the Borrower and the Restricted Subsidiaries and management agreements with the Borrower and such of the Restricted Subsidiaries as operate the portion of the paging system subject to the License held by it.
