NASDAQ OMX Requirements definition

NASDAQ OMX Requirements means (i) the rules, regulations, interpretations, decisions, opinions, orders and other requirements of the SEC or an FSA, as may be applicable based upon the NASDAQ OMX Affiliate from which the Data is received ; (ii) the rules and regulations, disciplinary decision and rule interpretations applicable to any Funds;
NASDAQ OMX Requirements means: (i) the rules, regulations, interpretations, decisions, Revised May 8, 2008 opinions, orders and other requirements of the Securities and Exchange Commission (“SEC”); (ii) the applicable rules, regulations, disciplinary decisions, and rule interpretations of self-regulatory organizations; (iii) NASDAQ OMX’s operating procedures, specifications, requirements, and other documentation that is regulatory or technical in nature (including, but not limited to, user guides) published on the NASDAQ Trader website located at xxx.xxxxxxxxxxxx.xxx (“NASDAQ Trader”) or another NASDAQ OMX website accessible by and made known to Subscriber; (iv) all other applicable laws, statutes, rules, regulations, orders, decisions, interpretations, opinions, and other requirements, whether promulgated by the United States or any other applicable jurisdiction (including in the area of intellectual property); and (v) the successors, as they may exist at the time, of the components of the NASDAQ OMX Requirements. Subscriber warrants that it is, will continue to be during the term of this Agreement, and will only use the Service in compliance with this Agreement and the NASDAQ OMX Requirements. NASDAQ OMX warrants that it is, will continue to be during the term of this Agreement, and will only use Subscriber’s Data in compliance with this Agreement and the NASDAQ OMX Requirements.
NASDAQ OMX Requirements means (i) the rules, regulations, interpretations, decisions, opinions, orders and other requirements of the SEC or an FSA, as may be applicable based upon the NASDAQ OMX Market from which the Information is received ; (ii) the rules and regulations, disciplinary decision and rule interpretations applicable to NASDAQ OMX Markets (iii) the NASDAQ OMX Markets' decisions, policies, interpretations, operating procedures, specifications, requirements, and other documentation that is regulatory or technical in nature (including, but not limited to, user guides) published on the NASDAQTrader website located at xxx.XXXXXXXxxxxx.xxx or another website accessible by and made known to Distributor; and (iv) all other applicable laws, statutes, rules, regulations, orders, decisions, interpretations, opinions, and other requirements, whether promulgated by the United States, England, Sweden or any other applicable jurisdiction (including in the area of intellectual property); and (v) the successors, as they may exist at the time, of the components of the NASDAQ OMX Requirements.

  • NASDAQ OMX grants to Subscriber a nonexclusive, non-transferable license during the term of the Agreement to receive and use the Information transmitted to it by Distributor and thereafter, to use such Information as permitted under the terms of this Agreement and/or the NASDAQ OMX Requirements.

  • NASDAQ OMX grants Subscriber a non-exclusive, non-transferable, non-assignable license during the term of this Agreement to receive and use the Service as made accessible by NASDAQ OMX and thereafter to use the information and data transmitted from the Service for any purpose not inconsistent with the terms of this Agreement or the NASDAQ OMX Requirements.

  • NASDAQ OMX, in its sole discretion, may from time to time make additions to, deletions from, or modifications to the Service and/or the NASDAQ OMX Requirements.

  • Upon Subscriber’s request and pursuant to the NASDAQ OMX Requirements, Subscriber shall have access to MFQS for the purpose of transmitting Data for dissemination by NASDAQ OMX to the press and certain quotation vendors.

  • Except as may be provided in the NASDAQ OMX Requirements, all claims, disputes, controversies, and other matters in question between the Parties to this Agreement and the Parties’ employees, directors, agents and associated persons arising out of, or relating to this Agreement, or to the breach hereof, shall be settled by final binding arbitration in accordance with this Agreement and the following procedure or such other procedures as may be mutually agreed upon by the Parties.

  • In the event of any conflict between the provisions of this Agreement, the Attachments, or the NASDAQ OMX Requirements, the order of preference shall be the NASDAQ OMX Requirements, the Attachments, and this Agreement.

  • NASDAQ OMX shall undertake reasonable efforts to notify Subscriber in writing of any material change to the Service and the NASDAQ OMX Requirements, which means may include, but not be limited to emailing notice of such changes to Subscriber and/or posting such changes on NASDAQ Trader.

  • The panel found that this delegation clause did not clearly and unmistakably delegate arbitrability issues, because one of the provisions of the NASDAQ OMX Requirements “arguably immunize[d] NASDAQ from liability for the type of claim asserted by UBS” and it was therefore “far from ‘clear and unmistakable’ that the Services Agreement provide[d] UBS with an arbitrable claim.” Id. at 1032.

  • OHS Requirements means all Laws applicable to the Supply and related to occupational health or safety, and all of the City Policies that relate to occupational health or safety, and includes without limitation the WCA;

  • Program Requirements means that Partner has to fulfill certain program requirements as described in detail in the applicable SAP PartnerEdge Model and the PartnerEdge Program Guide.

  • JSE Listings Requirements means the Listings Requirements of the JSE applicable from time to time;

  • Risk Retention Requirements means the credit risk retention requirements of Section 15G of the Exchange Act (15 U.S.C. §78o-11), as added by Section 941 of the Xxxx-Xxxxx Xxxx Street Reform and Consumer Protection Act.

  • PPPFA Regulations means the Preferential Procurement Regulations, 2017 published in terms of the PPPFA.

  • Regulatory Capital Requirements means any applicable capital resources requirement or applicable overall financial adequacy rule required by the Relevant Regulator, as such requirements or rule are in force from time to time;

  • Standard Listing Conditions has the meaning ascribed thereto in subsection 5(a)(v) hereof;

  • Applicable Technical Requirements and Standards means those certain technical requirements and standards applicable to interconnections of generation and/or transmission facilities with the facilities of an Interconnected Transmission Owner or, as the case may be and to the extent applicable, of an Electric Distributor, as published by Transmission Provider in a PJM Manual provided, however, that, with respect to any generation facilities with maximum generating capacity of 2 MW or less (synchronous) or 5 MW or less (inverter-based) for which the Interconnection Customer executes a Construction Service Agreement or Interconnection Service Agreement on or after March 19, 2005, “Applicable Technical Requirements and Standards” shall refer to the “PJM Small Generator Interconnection Applicable Technical Requirements and Standards.” All Applicable Technical Requirements and Standards shall be publicly available through postings on Transmission Provider’s internet website.

  • Technical Requirements means the Technical Requirements in Section VII of the tendering documents.

  • Statutory Requirements means all approvals, consents, permits, or licences necessary for the purposes of the Project from the State, any government department, authority, instrumentality or local government authority, and includes, without limiting the generality of the foregoing, all approvals, consents, permits, and licences, for engineering drawings, construction plans, earthworks and structures necessary for the purposes of the Project;

  • Federal safety requirements means applicable provisions of 49 U.S.C. § 30101 et seq. and all

  • Data Protection Requirements means all Requirements of Law, to the extent applicable to the items and services provided by the Borrower and each Restricted Subsidiary, relating to the privacy and security of information technology assets and equipment, computers, systems, networks, hardware, software, websites, applications, and databases and personal, personally identifiable, sensitive, confidential or regulated data and, in each case, to the protection thereof from unauthorized use, access, misappropriation or modification.
