Mortgage Obligations definition

Mortgage Obligations means the collective reference to (a) all obligations, now existing or hereafter arising, owing by the Lessee and/or any of its Affiliates to the Lessor (or the Agent, on behalf of the Lessor) under or pursuant to the Operative Agreements whether direct or indirect, absolute or contingent, due or to become due, now existing or hereafter incurred, which may arise under, out of, or in connection with any of the Operative Agreements, whether on account of principal, advanced amounts, interest, Breakage Costs, reimbursement obligations, fees, indemnities, costs, expenses or otherwise (including without limitation all reasonable fees and disbursements of counsel to the Agent or to the Lessor) that are required to be paid by the Lessee pursuant to the terms of the Operative Agreements and (b) all obligations, now existing or hereafter arising, owing by the Borrower and/or the Lessee and/or any of their Affiliates to the Mortgage Lenders (or the Agent, on behalf of the Mortgage Lenders) under or pursuant to the Operative Agreements whether direct or indirect, absolute or contingent, due or to become due, now existing or hereafter incurred, which may arise under, out of, or in connection with any of the Operative Agreements, whether on account of principal, advanced amounts, interest, reimbursement obligations, fees, indemnities, costs, expenses or otherwise (including without limitation all reasonable fees and disbursements of counsel to the Agent or to the Mortgage Lenders) that are required to be paid by the Borrower and/or the Lessee pursuant to the terms of the Operative Agreements. Notwithstanding the foregoing, the term “Mortgage Obligations” shall not include the Credit Note Obligations or any obligation or amount included in the definition of the term “Rent” that is owed by the Lessee to the Lessor for the benefit of, or on account of, any of the Credit Note Obligations (including without limitation any portion of Basic Rent or Supplemental Rent attributable to or calculated based on any amount of interest or other amounts payable under the Credit Notes).
Mortgage Obligations means any obligations owing to the Lessor pursuant to the Operative Agreements.
Mortgage Obligations shall have the meaning ascribed to the term “Obligations” in the Mortgage Loan Agreement.

More Definitions of Mortgage Obligations

Mortgage Obligations means any and all obligations of the Borrower which may arise or accrue under and pursuant to this Agreement or the Mortgages, including, without limitation, interest accrued on such obligations. Mortgaged Property shall mean, collectively, the "Mortgaged Property," as defined in the Fee Mortgage and the "Mortgaged Property," as defined in the Leasehold Mortgage. Mortgagee shall have the meaning ascribed to such term in the Mortgages.
