Modified Physical Settlement. Means, for any Tranche, “Physical Settlement” as specified above except that in lieu of delivery of the Preferred Unit Property, Dealer shall deliver to Counterparty on the Modified Physical Settlement Payment Date an amount in USD equal to the Settlement Value of the Exchange Property for the relevant series of Preferred Units and Counterparty shall deliver to Dealer the Number of Shares to be Delivered for such Tranche).
Modified Physical Settlement. If Modified Physical Settlement is applicable, then, notwithstanding anything to the contrary in this Confirmation or the 2002 Definitions, the provisions set forth in Section 9.2(a)(i) of the 2002 Definitions shall apply, and the Number of Shares to be Delivered shall be equal to the Number of Shares.
Modified Physical Settlement. If applicable, settlement shall occur in accordance with Section 9.1 of the Definitions; provided that in addition to the payments and deliveries required thereunder, if the Relevant Price is greater than the Cap Price, Seller’s delivery obligation shall be reduced by the Cap Share Adjustment, and Seller shall pay to Buyer an amount in the Settlement Currency for any fractional Share included in the Cap Share Adjustment solely due to rounding (at the Relevant Price). Cap Share Adjustment: A number of Shares (rounded up to the nearest whole Share) equal to (i) the Additional Settlement Amount divided by (ii) the Relevant Price.

  • In the event of a Modified Physical Settlement, Counterparty may request, prior to electing Modified Physical Settlement, that Dealer inform it if there would be an Excess Ownership Position in respect of Newmark Shares if Modified Physical Settlement were elected and Dealer shall, within one Business Day, respond to such request in writing.

  • Any Settlement Election Notice specifying Modified Physical Settlement shall only be valid if it contains the following representations and warranties of Counterparty in its capacity as Electing Party: as of the date of such Settlement Election Notice, Counterparty repeats all of its representations and warranties contained in this Confirmation.

  • From and after the Settlement Method Election Date, unless Counterparty has elected Modified Physical Settlement, Dealer shall not exchange, or attempt to exchange, Preferred Units for Newmark Shares.

  • Modified Physical Settlement: If Modified Physical Settlement is applicable, then, notwithstanding anything to the contrary in this Confirmation or the Equity Definitions, on the relevant Settlement Date, Buyer will pay to Seller an amount equal to the Modified Forward Price multiplied by the Number of Shares and Seller will deliver to Buyer the Number of Shares and will pay to Buyer the Fractional Share Amount, if any.

  • Physical Settlement shall have the meaning specified in Section 14.02(a).

  • Physical Settlement Amount For any Settlement Date for which Physical Settlement is applicable, an amount in cash equal to the product of (a) the Forward Price in effect on the relevant Settlement Date multiplied by (b) the Settlement Shares for such Settlement Date.

  • Physical Settlement Date means the date specified as such in any Physical Settlement Notice, which shall be not earlier than 10 nor later than 20 Business Days after the date on which the Physical Settlement Notice is given.

  • Early Settlement has the meaning specified in Section 5.9(a).

  • Cash Settlement Averaging Period means, with respect to any Note as to which Cash Settlement or Combination Settlement is applicable, the 45 consecutive Trading Day period beginning on, and including, the second Trading Day immediately following the related Conversion Date; except that “Cash Settlement Averaging Period” means, with respect to any Conversion Date occurring during the Final Conversion Period, the 45 consecutive Trading Day period beginning on, and including, the 46th Scheduled Trading Day immediately preceding the Maturity Date.

  • Disruption Cash Settlement Price means in respect of each Security, an amount in the Settlement Currency equal to the fair market value of the Share Amount (taking into account, where the Settlement Disruption Event affected some but not all of the Shares comprising the Share Amount and such non-affected Shares have been duly delivered as provided above, the value of such Shares), less the cost to the Issuer of unwinding any underlying related hedging arrangements, all as determined by the Issuer.

  • Cash Settlement Amount means, in respect of every Board Lot, an amount calculated by the Issuer in accordance with the following formula (and, if appropriate, either (I) converted (if applicable) into the Settlement Currency at the Exchange Rate or, as the case may be, (II) converted into the Interim Currency at the First Exchange Rate and then (if applicable) converted into Settlement Currency at the Second Exchange Rate):

  • TARGET2 Settlement Day means any day on which the Trans-European Automated Real-Time Gross Settlement Express Transfer (TARGET2) System is open.

  • Net Share Settlement Amount For any Settlement Date, an amount equal to the product of (i) the number of Warrants exercised or deemed exercised on the relevant Exercise Date, (ii) the Strike Price Differential for the relevant Valuation Date and (iii) the Warrant Entitlement.
