MISO Documents definition

MISO Documents means the MISO ITC Agreement and such other agreements, instruments, certifications and other documents as may be necessary or desirable to effectuate the transactions contemplated by the MISO ITC Agreement.
MISO Documents includes, but is not limited to, any amendments or modifications resulting from the tariff modifications and enhancements to Module E filed by MISO on July 20, 2011 and currently being considered by the Federal Energy Regulatory Commission in FERC Docket ER11-4081-000. ZRCs sold hereunder are not located within the Local Resource Zone (“LRZ”) associated with Party B’s load, the Parties shall calculate the difference between (a) the MISO Auction Clearing Price (“ACP”) for ZRCs in the LRZ associated with Party B’s load and (b) the MISO ACP for ZRCs sold hereunder (such difference, the “Basis Difference”) and settle the Basis Difference pursuant to Section 3, Billing and Payment. Furthermore, if ZRCs sold hereunder contain Minimum Offer Price Rule (“MOPR”) bid criteria pursuant to the MISO Documents and Party B submits such ZRCs in the PRA as a price taker and subsequently such ZRCs do not clear in the MISO PRA, the price to be paid by Party B for such ZRCs will be set to zero and Party B will not be liable for any payment to Party A (i.e. Party A takes the risk of MOPR bid criteria). In addition, Party A would be responsible for any positive difference obtained by subtracting the Contract Price from the ACP for ZRCs in the LRZ associated with Party B’s load for an amount of ZRCs equal to Contract Quantity. Party A must be able to transfer any ZRCs to Party B using the Module E Capacity Tracking tool (“MECT”), or any successor system. The Parties understand and agree that Party B has entered into this agreement with the intention of satisfying a portion of its RAR within the applicable Planning Year(s) (as such term is defined in the MISO Documents) shown in Table A. If the requirement to provide ZRCs does not apply to one or both of Planning Years specified in Table A and Planning Resource Credits (as defined in Attachment A) are required for Party B to meet its RAR, then the Parties agree that this Confirmation Agreement will be adjusted for such Planning Year(s) as follows: the portion of this Confirmation Agreement beginning with definition of “Term” in the preamble through Section 3 will be replaced in its entirety and replaced with the provisions specified in Attachment A and, for any Planning Year in which Party A is obligated to deliver ZRCs, the Parties will convert the Contract Quantity of ZRCs to an equal amount of monthly Planning Resource Credits over the entire Planning Period and will populate Table A accordingly.   • Seller shall also be obligated to meet and perform, or cause a third party to meet and perform, all of the obligations of the MISO Documents associated with such Planning Resource(s) and for any costs or charges imposed on or liabilities associated with the Product or the underlying Planning Resource(s)such obligations or Seller’s failure to meet and perform such obligations.

  • The Company shall (i) execute and deliver the MISO ITC Agreement and such of the MISO Documents to be executed and delivered to and by it and (ii) comply with the terms and conditions of the MISO ITC Agreement.

  • In addition, the Seller shall pay to Buyer all Financial Settlement Charges (as such term is defined in the MISO Documents) and other penalties and/or charges assessed to Buyer (either directly or through contractual obligation) resulting directly from Seller’s failure to deliver all or part of the Product; provided, however, that Seller shall not be liable for any Capacity Deficiency Charges assessed to Buyer resulting from Xxxxx’s election to become deficient in the Planning Resource Auction.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Contractor Documents means one or more document, agreement or other instrument required by Contractor in connection with the performance of the products and services being purchased by the State, regardless of format, including the license agreement, end user license agreement or similar document, any hyperlinks to documents contained in the Contractor Documents, agreement or other instrument and any other paper or “shrinkwrap,” “clickwrap,” “browsewrap” or other electronic version thereof.

  • Material Documents has the meaning set forth in Section 5.23.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Operative Documents means the Purchase Agreement, the Indenture, the Trust Agreement, the Guarantee Agreement, the Notes and the Trust Securities.

  • Related Agreements shall have the meaning specified in the recitals to the Administration Agreement.

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • Procurement Documents means the procurement documents attached hereto as Schedule F (if any);

  • Assigned Documents has the meaning assigned to that term in Section 2.12.

  • Constitutive Documents means the Trust Deed or such other documents as defined in the Regulations.

  • Purchaser Documents has the meaning set forth in Section 6.2.

  • Operating Documents are, for any Person, such Person’s formation documents, as certified by the Secretary of State (or equivalent agency) of such Person’s jurisdiction of organization on a date that is no earlier than thirty (30) days prior to the Effective Date, and, (a) if such Person is a corporation, its bylaws in current form, (b) if such Person is a limited liability company, its limited liability company agreement (or similar agreement), and (c) if such Person is a partnership, its partnership agreement (or similar agreement), each of the foregoing with all current amendments or modifications thereto.
