Miscellaneous Provisions means those provisions set forth in Section 45 hereof.

Miscellaneous Provisions. This Agreement, together with the Exhibits hereto, all of which are incorporated herein and made a part hereof by this reference, and the Certificates and other instruments delivered by the respective Parties pursuant thereto, constitutes the entire agreement between the Parties hereto with respect to the subject matter hereof and supersedes all prior agreements, understandings and discussions, both written and oral, between the Parties hereto.
