MIP Participants definition

MIP Participants means those certain management employees entitled to receive MIP Equity pursuant to a grant under the MIP.

MIP Participants means those persons entitled to the respective portions of the MIP Gross Payout set out on Schedule A to the MIP.

MIP Participants means any participant in the MIP (including any holding company or other vehicle through which such participant holds its interest in the MIC).

• The initial percentage (and no other terms and conditions) of the Management Incentive Plan allocable to the MIP Participants shall be determined by the Creditors’ Committee and identified in the Plan Supplement, and such initial percentage will be allocated by the New Board within sixty (60) days following the Effective Date.

• Immediately prior to the Scheme Record Time, ADVANZ PHARMA shall issue to the MIP Participant the ADVANZ PHARMA Shares to which he or she is entitled.The Scheme shall apply to any ADVANZ PHARMA Shares that are issued to MIP Participants immediately prior to the Scheme Record Time.

• As the MIP Participants have extensive operational expertise and an in-depth understanding of the Group’s business and industry, it is important for the MIP Participants to have an indirect stake in the Company (through the MIP Participants’ stake in Holdco, which will be an indirect holding company of the Company upon the Scheme becoming effective) so that they will be incentivised to continue to contribute to the development of the Group.

More Definitions of MIP Participants

MIP Participants means those individuals that are allocated a percentage of the Acquisition Pool (as defined in the MIP) under the MIP as of immediately prior to the Effective Time.
