Minimum Subscription Date definition

Minimum Subscription Date or "Minimum Subscription Closing Date" shall mean the date on which the Managing Member shall mail or otherwise furnish to Dealer Manager notification that subscriptions and payments for an aggregate of at least 6,000 Units have been received and accepted by the Managing Member and deposited with the Escrow Agent. In the event that subscriptions and payments for at least 6,000 Units shall not have been received and accepted by the Managing Member on or prior to ____________, 2001, this Agreement will terminate and neither the Fund nor the Managing Member shall have any further obligation or liability hereunder to Dealer Manager or Participating Brokers. In the event of such termination, all purchase payments deposited with the Escrow Agent shall be returned to the subscribers and no selling commissions (as described below) will be payable.
Minimum Subscription Date means the earlier of the date on which the Company shall mail or otherwise furnish to Dealer Manager notification that subscriptions and payments for an aggregate of at least $1,000,000 in Shares have been received and accepted by the Company and deposited with the Escrow Agent. More Definitions of Minimum Subscription Date

Related to Minimum Subscription Date

  • Minimum Subscription means the minimum subscription for Shares as specified in the relevant Supplement.

  • Subscription Period means the duration of Customer’s authorized use of the Subscription Services as designated in the Order.

  • Subscription Day means the last Business Day of each week or such other day or days as the Directors may from time to time determine that Participating Shares in the Fund are available for subscription;

  • Put Notice Date means the Trading Day, as set forth below, immediately following the day on which the Investor receives a Put Notice, however a Put Notice shall be deemed delivered on (a) the Trading Day it is received by facsimile or otherwise by the Investor if such notice is received prior to 9:00 am Eastern Time, or (b) the immediately succeeding Trading Day if it is received by facsimile or otherwise after 9:00 am Eastern Time on a Trading Day. No Put Notice may be deemed delivered on a day that is not a Trading Day.

  • Initial Subscription Term the initial term of Your Subscription as agreed in the Order which commences on the date of acceptance of the Order or as otherwise agreed to by the parties.

  • Subscription Fee means the Fees payable by IPTV Operator to ZEEL for availing the signals of Zee Group Channels on a monthly basis and calculated as “ZEEL’s Share of MRP” multiplied by average active subscribers for any given month.

  • Issuance Notice Date means any Trading Day during the Agency Period that an Issuance Notice is delivered pursuant to Section 3(b)(i).
