Minimum Exercise Price definition

Minimum Exercise Price means 50% of the Nasdaq Minimum Price (as defined in Nasdaq Listing Rule 5635(d) or its successor) calculated as of the date of the Purchase Agreement as proportionately adjusted to reflect any Stock Dividend or Splits in the manner set forth in Section 3(a).
Minimum Exercise Price means one hundred percent (100%) of the Fair Market Value of a Share at the time of the grant of the Option, or the par value of a Share, whichever is greater.
Minimum Exercise Price means the greater of: (1) the Exercise Price and (2) the amount by which (A) the Fair Market Value per share of Common Stock exceeds (B) the Maximum Spread, each as determined as of the Close of Business of the Trading Day immediately preceding the Exercise Date.
