Milestone Deliverable definition

Milestone Deliverable. Has the meaning given in Section 4.6(b) of the Agreement. Minimum Service Level Means the minimum level of performance set forth in Attachment 3-A with respect to each Critical Service Level and Key Measurement. Minimum Service Level Default Means the Service Provider's level of performance for a particular Critical Service Level fails to meet the applicable Minimum Service Level at any time. Minor Release Means a scheduled release containing small functionality updates and/or accumulated resolutions to defects or non-conformances made available since the immediately preceding release (whether Major Release or Minor Release). Minor Releases shall include "Maintenance Releases" which are supplemental to and made available between Major Releases and other Minor Releases, issued and provided under specific Service Provider Service Level or maintenance obligations and contain only accumulated resolutions or mandated changes. These releases are usually identified by a change in the decimal numbering of a release, such as "7.12" to "7.13." Monthly Base Charge Means the monthly fixed charge to DIR for Service Provider's performance of the Services and includes the quantity of Resource Units set forth under the Monthly Resource Baselines in Attachment 4-D. Monthly Charges Means the total Charges invoiced by Service Provider in any calendar month for Services (excluding Pass-Through Expenses, Out-of-Pocket Expenses and Service Taxes). Monthly Business Days Means Business Days in a given month. Monthly Business Days Assigned Means with respect to any month and any Service Provider Personnel, the number of Monthly Business Days that such Service Provider Personnel is assigned full time to the performance of Services. Monthly Invoice Has the meaning given in Section 12.1(a) of the Agreement. Term Definition Monthly Invoice Amount Means Charges due and owing for the preceding month, including the Monthly Base Charge and any additional Charges, including, to the extent applicable, ARC/RRC adjustments, ECA adjustments, payments for Transition Milestones, Transformation Milestones, HSC/SSC Charges, and any other amounts payable by DIR to Service Provider pursuant to the express terms of the Agreement.   • The Acceptance Review Period shall begin on the date that Service Provider provides written notification to DIR that the Milestone Deliverable is ready to be reviewed by DIR.

  • During the Acceptance Review Period, DIR and DIR Customers shall review and may further test each Milestone Deliverable, individually and collectively, to determine whether such item(s) contain any type of Noncompliance.

  • Furthermore, in the event of a discovery of a latent defect in a previously Accepted Milestone Deliverable or other Deliverable, where such latent defect would have qualified as a Noncompliance at the time of Acceptance, upon notification by DIR or the applicable DIR Customer Service Provider will, at no additional charge, repair or replace or otherwise correct the Noncompliance to the level of performance specified in the Agreement.

  • If DIR does not Accept a Milestone Deliverable, DIR shall provide Service Provider a notice of Noncompliance as described below.

  • If DIR or DIR Customer does not identify any Noncompliance relating to a Milestone Deliverable during its Acceptance Review Period, DIR or DIR Customer shall inform Service Provider in writing that the Milestone Deliverable is Accepted, subject to the other provisions of this Agreement.

  • Service Provider shall review the expectations in advance so as to obtain acceptance of the final Milestone Deliverable within the Acceptance Review Period.


More Definitions of Milestone Deliverable

Milestone Deliverable means the performance criteria set out in Schedule 3 which must be achieved before the corresponding instalment of Funding will be paid. Partner Contribution means the cash contribution, if any, to the Project by each partner as set out in Item 11 of Schedule 1. Partner Organisation means a Queensland- based business or end-user organisation capable of progressing the translation and practical application of the Project outcomes and identified as a partner in the Application and set out in Item 9 of Schedule 1.

Milestone Deliverable means a deliverable identified as a “Milestone Deliverable” in the Milestone Table at Appendix 1 to Schedule 18.2;

Related to Milestone Deliverable

  • Custom Deliverable means the Work Product that Contractor is required to deliver to the Eligible User under this Contract.

  • Milestone means an event or task described in the Implementation Plan which must be completed by the corresponding date set out in such plan;

  • Development Milestone Payment shall have the meaning set forth in Section 9.2(a).

  • Milestone Schedule means Seller’s milestone schedule, the form of which is attached to this Agreement as Exhibit Q.

  • Deliverables means the work product and other output of the Services required to be delivered by Contractor as part of the Services, as specified in the relevant section of the Contract.

  • Milestone Dates means the dates for completion of specified Project activities as contained in the Project Schedule.

  • Performance Milestone means an act or event specified in section 5.1 and described in section 9 of the EPLA.

  • Milestone Payments has the meaning set forth in Section 4.2.

  • Milestone Payment Date has the meaning set forth in Section 2.4(a).

  • Maximum Deliverable Number means the number of Shares set forth as such in Annex B to this Confirmation. Counterparty represents and warrants to Dealer (which representation and warranty shall be deemed to be repeated on each day from the date hereof to the Settlement Date or, if Counterparty has elected to deliver any Payment Shares hereunder in connection with a Special Settlement, to the date on which resale of such Payment Shares is completed (the “Final Resale Date”)) that the Maximum Deliverable Number is equal to or less than the number of authorized but unissued Shares of Counterparty that are not reserved for future issuance in connection with transactions in such Shares (other than the transactions under this Confirmation) on the date of the determination of the Maximum Deliverable Number (such Shares, the “Available Shares”). In the event Counterparty shall not have delivered the full number of Shares otherwise deliverable as a result of this paragraph 5 (the resulting deficit, the “Deficit Shares”), Counterparty shall be continually obligated to deliver, from time to time until the full number of Deficit Shares have been delivered pursuant to this paragraph, Shares when, and to the extent that, (i) Shares are repurchased, acquired or otherwise received by Counterparty or any of its subsidiaries after the date hereof (whether or not in exchange for cash, fair value or any other consideration), (ii) authorized and unissued Shares reserved for issuance in respect of other transactions prior to such date which prior to the relevant date become no longer so reserved or (iii) Counterparty additionally authorizes any unissued Shares that are not reserved for other transactions. Counterparty shall promptly notify Dealer of the occurrence of any of the foregoing events (including the number of Shares subject to clause (i), (ii) or (iii) and the corresponding number of Shares to be delivered) and promptly deliver such Shares thereafter.

  • Purchaser Deliverables has the meaning set forth in Section 2.2(b).

  • Notice Delivery Period means the period from and including the Trade Date, to and including a day that is three (3) Business Days following the date that is 14 calendar days after the Scheduled Termination Date. Section 1.23 (Notice Delivery Period) of the Credit Derivatives Definitions shall be amended accordingly.

  • Runtime Product means the version specific files and application program interfaces (APIs) specified in the RUNTIME.TXT file provided with SAP Crystal Reports 2008, SAP Crystal Reports for Eclipse 2.0, and SAP Crystal Reports for Visual Studio 2010.
