Mezzanine Documents definition

Mezzanine Documents means the documents governing and evidencing the Mezzanine Facility and the loans made thereunder.
Mezzanine Documents means the Credit Agreement dated as of December 21, 2006 among EBG Holdings, the financial institutions and lenders party thereto from time to time and CS, as administrative agent and each of the other Loan Documents referred to therein (other than the Fee Letter referred to therein).
Mezzanine Documents means the Securities Purchase Agreement dated as of December 17, 2001, between Holdings, the Borrower, X.X. Xxxxxxx Mezzanine Fund, L.P., Whitney Private Debt Fund, L.P., Blackstone Mezzanine Partners L.P., Blackstone Mezzanine Holdings L.P., Carlyle High Yield Partners, L.P., Oak Hill Securities Fund, L.P., Oak Hill Securities Fund II, L.P., Xxxxxx Entreprises, L.P. and P&PK Family Limited Partnership, the Senior Unsecured Notes and common stock and any other securities issued thereunder and all agreements and documents executed in connection therewith at any time.

  • The Agent shall have received and reviewed to its satisfaction all of the Mezzanine Documents, the transactions contemplated to occur thereunder shall have been consummated and all conditions precedent to the effectiveness of the Mezzanine Documents shall have occurred; the Borrower shall have received in cash the proceeds of the Mezzanine Debt, and the Agent on behalf of the Lenders and the Mezzanine Lender shall have entered into an intercreditor agreement satisfactory to the Lenders.

  • LIABILITIES Except where expressly provided in this Deed, nothing contained in this Deed is intended to or shall impair, as between any Intercreditor Obligor and the Mezzanine Beneficiaries, the obligations of any Intercreditor Obligor under the Mezzanine Documents, including, without limitation, the obligation of the Mezzanine Borrower to pay the Mezzanine Beneficiaries all of the relevant Mezzanine Liabilities.

  • As of Closing Date, since November 30, 2001, Holdings has not issued any capital stock except pursuant to the exercise of options other than pursuant to the Equity Documents and the Mezzanine Documents.

  • The Borrower must ensure that its payment obligations under the Mezzanine Documents rank in priority to all its other present and future unsecured payment obligations, except for obligations mandatorily preferred by law and/or obligations toward Senior Lenders.

  • The execution, delivery and effectiveness of this Amendment shall not, except as expressly provided herein, operate as a waiver of any right, power or remedy of any Holder under any of the Mezzanine Documents, nor constitute a waiver of any provision of any of the Transaction Documents.

More Definitions of Mezzanine Documents

Mezzanine Documents means the documentation pursuant to which certain prepetition mezzanine lenders purchase Equity Interests in Holdco from JPMorgan Chase Bank within 90 days of the Effective Date.
Mezzanine Documents means the documents defined as "FINANCE DOCUMENTS" in the Mezzanine Facility Agreement (with the exception of the Warrant Documents, the Priority Letter, this Deed and the Subordination Agreements).
Mezzanine Documents means the Mezzanine Facility Agreement, (where and to the extent capable according to their terms of security any Mezzanine Liabilities) the Security Documents and any documents entered into pursuant thereto;

  • Mezzanine Loan Documents means the “Loan Documents” as defined in the Mezzanine Loan Agreement.

  • Existing Loan Documents means the “Loan Documents” as defined in the Existing Credit Agreement.

  • Lease Documents has the meaning set forth in the Basic Servicing Agreement; provided that such definition shall refer only to lease documents related to Leases allocated to the 20[●]-[●] Lease SUBI.
