Metal Securities definition

Metal Securities means the Class of Metal Securities to which these Conditions relates or, as the context may require, any or all securities issued by the Issuer under the Programme.
Metal Securities means Individual Securities and Basket Securities
Metal Securities means the securities of each class specified in the Sixth Schedule to the Trust Instrument and includes WisdomTree Physical Swiss Gold Securities and WisdomTree Core Physical Gold Securities;

  • Security - The Issuer’s obligations in respect of a Class of Metal Securities are secured by the security created by the relevant security documents.

  • During the life of the Metal Securities, Securityholders can buy and sell Metal Securities on each exchange on which the Metal Securities are listed from time to time.

  • Metal Securities have an effective notional entitlement to a type of Metal, the “Metal Entitlement”.

  • What are the main features of the Metal Securities?(a)Type, class and ISINThe Metal Securities are commodity-linked securities and may be issued in bearer form and in classic global note (“CGN”) form.

  • Any Securityholder can request to redeem Metal Securities directly with the Issuer, except in limited circumstances.

  • The aggregate number of Metal Securities issued under the Programme will not at any time exceed 10,000,000,000.

  • Only the authorised participants in respect of the Class specified in the Final Terms can subscribe for Metal Securities directly from the Issuer.

  • Meetings - The relevant trust deed in respect of each Class contains provisions for convening meetings of Securityholders of a single Class to consider any matter affecting their interests, including modification by extraordinary resolution of the relevant Class of Metal Securities (including the terms and conditions of the Metal Securities or the provisions of that trust deed insofar as it may apply to such Class of Metal Securities).

  • The denominationin respect of a Metal Security will be equal to its Principal Amount.(c)Rights attached to the Metal SecuritiesOverview - The Metal Securities are secured limited recourse debt obligations of the Issuer.

Related to Metal Securities

  • Capital Securities means undivided beneficial interests in the assets of the Trust which rank pari passu with Common Securities issued by the Trust; provided, however, that upon the occurrence and continuance of an Event of Default (as defined in the Declaration), the rights of holders of such Common Securities to payment in respect of distributions and payments upon liquidation, redemption and otherwise are subordinated to the rights of holders of such Capital Securities.

  • Securities as used herein does not include (i) securities of issuers that are affiliated with the Buyer or are part of the Buyer's Family of Investment Companies, (ii) securities issued or guaranteed by the U.S. or any instrumentality thereof, (iii) bank deposit notes and certificates of deposit, (iv) loan participations, (v) repurchase agreements, (vi) securities owned but subject to a repurchase agreement and (vii) currency, interest rate and commodity swaps.

  • Physical Securities has the meaning set forth in Section 2.01.

  • Trust Preferred Securities any preferred securities issued by a Trust Preferred Securities Subsidiary, where such preferred securities have the following characteristics:

  • ETP Securities means the Series of ETP Securities to which these Conditions relates or, as the context may require, any or all securities issued by the Issuer under the Programme.

  • Individual Securities shall have the meaning specified in Section 3.01(p).

  • Covered Securities means any note, stock, treasury stock, security future, bond, debenture, evidence of indebtedness, certificate of interest or participation in any profit-sharing agreement, collateral-trust certificate, preorganization certificate or subscription, transferable share, investment contract, voting-trust certificate, certificate of deposit for a security, fractional undivided interest in oil, gas, or other mineral rights, any put, call, straddle, option, or privilege on any security (including a certificate of deposit) or on any group or index of securities (including any interest therein or based on the value thereof), or any put, call, straddle, option, or privilege entered into on a national securities exchange relating to foreign currency, or, in general, any interest or instrument commonly known as a "security", or any certificate of interest or participation in, temporary or interim certificate for, receipt for, guarantee of, or warrant or right to subscribe to or purchase any of the foregoing.

  • Equity Preferred Securities means, with respect to any Person, any trust preferred securities or deferrable interest subordinated debt securities issued by such Person or other financing vehicle of such Person that (i) have an original maturity of at least twenty years, and (ii) require no repayments or prepayments and no mandatory redemptions or repurchases, in each case, prior to the first anniversary of the latest Maturity Date.

  • Definitive Capital Securities means any Capital Securities in definitive form issued by the Trust.

  • Non Book-Entry Preferred Securities shall have the meaning set forth in Section 2.4.

  • Municipal Securities means municipal securities as described under “The Fund’s Investments—Municipal Securities” in the Memorandum.

  • Preferred Securities has the meaning specified in the first recital of this Indenture.

  • Federal Securities means: (a) any direct general obligations of the United States of America (including obligations issued or held in book entry form on the books of the Department of the Treasury of the United States of America), for which the full faith and credit of the United States of America are pledged; (b) obligations of any agency, department or instrumentality of the United States of America, the timely payment of principal and interest on which are directly or indirectly secured or guaranteed by the full faith and credit of the United States of America.

  • Hybrid Preferred Securities means any preferred securities issued by a Hybrid Preferred Securities Subsidiary, where such preferred securities have the following characteristics:

  • Escrowed Securities means the direct, noncallable obligations of the United States of America, as described in the Escrow Agreement.

  • Series A Securities means the Company's 10.01% Series A Junior Subordinated Deferrable Interest Debentures due March 15, 2027, as authenticated and issued under this Indenture.

  • Common Securities means the securities representing common undivided beneficial interests in the assets of the Issuer.

  • Equity-linked Securities means any debt or equity securities that are convertible, exercisable or exchangeable for Class A Shares issued in a financing transaction in connection with a Business Combination, including but not limited to a private placement of equity or debt.

  • Subordinated Securities means Securities that by the terms established pursuant to Section 2.02(i) are subordinated in right of payment to Senior Debt of the Company.

  • Purchaser Securities means the Purchaser Shares, Purchaser Rights, Purchaser Units, Purchaser Warrants, collectively.

  • Trust Securities means the Common Securities and the Capital Securities.

  • Offeror’s Securities means Voting Shares Beneficially Owned by an Offeror on the date of the Offer to Acquire;

  • Debt Securities has the meaning stated in the first recital of this Indenture and more particularly means any debt security or debt securities, as the case may be, of any series authenticated and delivered under this Indenture.
