The parties shall cooperate with each other and their respective counsel to document and support the Tax treatment of the Pre-Closing Reorganization and the Mergers each as a “reorganization” within the meaning of Section 368(a) of the Code, including providing factual support letters.
The Pre-Closing Reorganization and the Mergers shall be reported by the parties for all Tax purposes in accordance with the foregoing, unless otherwise required by a Governmental Authority as a result of a “determination” within the meaning of Section 1313(a) of the Code.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law, rule, regulation, judgment, decree, executive order or award (“Order”) which is then in effect and has the effect of making the Transactions, including the Mergers, illegal or otherwise prohibiting consummation of the Transactions, including the Mergers.
