Examples of Member Director in a sentence
The Members intend that the Company shall not be a partnership (including, without limitation, a limited partnership) or joint venture, and that no Member, Director, Alternate Director or Officer of the Company shall be a partner or joint venturer of any other Member, Director, Alternate Director or Officer of the Company, for any purposes other than as set forth in the first sentence of this Section 2.7.
If the Member Director is not present, the Alternate Member Director appointed to act in his/her place shall have the authority to act in his/her absence.
To the maximum extent permitted under the Act and other applicable law, no Member, Director or Officer of this Company shall be personally liable for any debt, obligation or liability of this Company merely by reason of being a Member, Director, Officer or all of the foregoing.
