Member Companies definition

Member Companies means Central Hudson Gas & Electric Corporation, Consolidated Edison Company of New York, Inc., Long Island Lighting Company, New York State Electric & Gas Corporation, Niagara Mohawk Power Corporation, Orange and Rockland Utilities, Inc., and Rochester Gas & Electric Corporation, the original members of the Power Pool.
Member Companies means registered members of the Company, and includes Voting Member Companies and Non- Voting Member Companies, and “Member Company” shall mean any one of them, as the context may indicate;
Member Companies means the affiliates and related entities of the Company, including Entertainment One Ltd. (and its subsidiaries and interests in joint ventures). "Options" has the meaning ascribed thereto in the agreement between the Executive and Entertainment One Ltd. "Original Agreement" has the meaning ascribed thereto in Recital A of this Agreement. "Parties" means 4384768 Canada Inc. and Xxxxxx Xxxxxx and "Party" means either of them. "Plan" has the meaning ascribed thereto in section 6 of this Agreement.

  • In addition, for any incomplete Performance Period, Intuit’s ending stock price will be the sale price of the Shares in the Corporate Transaction and the ending stock price of the other Member Companies will be the average price of a share of common stock of a Member Company over the 30 trading days ending on the effective date of the Corporate Transaction, in each case adjusted for changes in capital structure.

  • The Executive therefore agrees that, except with the consent of the President, he will not disclose such Confidential Information to any unauthorized persons; provided that the foregoing shall not apply to any Confidential Information which is or becomes known to the public or to the competitors of Gran Tierra or its Member Companies other than by a breach of this Agreement.

  • The Executive therefore agrees that so long as he is employed by the Company pursuant to this Agreement he shall not engage in any practice or business in competition with the business of Gran Tierra or any of its Member Companies.

  • The Member Companies make no representation or undertaking regarding the treatment of any tax withholding in connection with the grant or vesting of the Award or the subsequent sale of shares of Stock issuable pursuant to the Award.

  • The Executive confirms that all of the Business Records which are required to be delivered to the Company pursuant to this Agreement constitute the exclusive property of Gran Tierra or its Member Companies.

  • It is the expressed intent and agreement of the Executive and of the Company that such knowledge and experience shall be used solely and exclusively in the furtherance of the business interests of Gran Tierra and its Member Companies and not in any manner detrimental to them.


More Definitions of Member Companies

Member Companies means certain MCC Shareholders and MCC Associates that have agreed to participate in various technology programs at MCC pursuant to a Research and Development Agreement dated April 1, 1991, which may be amended by MCC from time to time, which also classifies certain Member Companies as "Level 1" or "Level II" participants in various technology programs.
Member Companies means those companies who rent space in the Building from Software Atelier and may be provided other services by Software Atelier.

  • Member Company means a “service recipient” as defined in Treasury Regulation § 1.409A-1(h)(3).

In the case of a merger or acquisition involving two Peer Companies during the TSR Measurement Period, the acquiree or merged company, as the case may be, shall be removed from the list of Peer Companies, and the acquirer or successor company, as the case may be, shall remain on the list of Peer Companies. In the case of a spinoff involving a Peer Company during the TSR Measurement Period, such company shall remain on the list of Peer Companies, provided that it remains an appropriate peer. Any new company formed as a result of the spinoff shall not be added to the list of Peer Companies for the current TSR Measurement Period (however, such company may be added to the list of Peer Companies for subsequent awards, if the Committee deems such inclusion appropriate). For the avoidance of doubt, following the closing of the Company’s acquisition of Celgene Corporation (“Celgene”), Celgene shall be has been removed from the list of Peer Companies.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Target Companies means the Target and its Subsidiaries.

  • Target Group means the Target and its Subsidiaries.

  • Acquired Entities means the Company and the Acquired Subsidiaries.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Transferred Entities means the entities set forth on Schedule 1.9.
