Meetings Fees definition

Meetings Fees. Means (i) annual retainer fees paid to a Non-Employee Director for services as a director on the Board and serving on any committee thereof and (ii) any other compensation to which a Non-Employee Director is entitled for attending a meeting of the Board or a meeting of any committee of the Board, exclusive of any amounts paid by the Company or its Subsidiaries to such director for services rendered to the Company or its Subsidiaries in a capacity other than as a director.
Meetings Fees means any cash compensation earned by a Director and attributable directly for attending or participating in a Board meeting or Board committee meeting.
Meetings Fees means compensation to which a Non-Employee Director is entitled for attending a meeting of the Board of Directors or a meeting of any committee of the Board of Directors, exclusive of any amounts paid by the Corporation or its Subsidiaries to such director for services rendered to the Corporation or its Subsidiaries in a capacity other than as a director.

Examples of Meetings Fees in a sentence

  • Each TLGI Participant may deliver a notice to TLGI directing TLGI to pay to such TLGI Participant, in the form of Common Shares, some or all of the Meeting Fees for the immediately preceding Quarterly Service Period (the "Meeting Fees Election"); provided, however, that the first Quarterly Service Period for which a Meetings Fees Election may be filed is the quarter ended March 31, 1997.

  • If a Director elects to receive Stock Units in lieu of all or a portion of the Meeting Fees, then with respect to all meetings occurring within a calendar quarter, the Director shall receive Stock Units (including fractional Stock Units) with respect to Stock having a Fair Market Value (determined as of the last trading day for such quarter) equal to 110% of the portion of such Meetings Fees payable in Stock Units.

Meetings Fees means the cash fees paid to a Director for attending Company Board and Committee meetings, as determined by the Board, excluding any expense reimbursements or similar items.
