Mechanical Availability definition

Mechanical Availability means the percentage of time that the Facility is capable of producing Energy during a Contract Year and is calculated as follows:[(H x N) - (Sum of downtime hours for N Units)] / (H x N)] x 100 expressed as a percent where H is the number of hours in the Contract Year and N is the number of Units in the Facility. Downtime hours (calculated in 15 minute increments) for each Unit includes all minutes in which the Unit is not in “run” status, or is in “run” status but faulted (including any delay in resetting a fault), with the exception of minutes that a Unit is unavailable due to (i) an event of Force Majeure; (ii) a curtailment ordered by the Transmission Provider; (iii) a NorthWestern Event of Default; and (iv) an outage scheduled at least 90 days in advance with NorthWestern’s written consent, which consent shall not be unreasonably withheld or delayed, up to 240 hours per Unit per Contract Year.

Mechanical Availability means, for any Rolling Availability Period, the ratio, expressed as a percentage, of (a) the aggregate sum of the number of calendar days during which at least eighty-five percent (85%) of the Solar Panels installed at the Facility were available to generate electricity during such Rolling Availability Period over (b) the total number of calendar days in such Rolling Availability Period; provided that, the Solar Panels installed at the Facility shall be “available” during (a) all Seller Uncontrollable Minutes except for days where Planned Outages result in less than eighty-five percent (85%) of the Solar Panels installed at the Facility being available to generate electricity and (b) periods in which (i) the Facility is unavailable due to a failure of major equipment and (ii) Seller has provided Buyer, within twenty (20) Business Days after such failure, a remediation plan that is reasonably satisfactory to Buyer setting forth how the repair or replacement of such major equipment will be effected.

  • For each month the Mechanical Availability Percentage shall be calculated and rounded to the nearest full percentage.

  • The provisions of this Section 4.01 shall be the exclusive remedies of Department for Seller's failure to meet a specific Mechanical Availability Percentage so long as such failure is not due to intentional conduct of Seller.

  • Commencing on the first day of the second Commercial Operation Year and for the reminder of the Term, Seller guarantees that the Facility shall have achieved an average annual Actual Availability Percentage during each Availability Period equal to or greater than ninety percent (90%) for the Term (a “Guaranteed Mechanical Availability Percentage”).

  • Energy payments (inclusive of Integration Charge) to the Seller including any deductions for unpaid Delay Damages, Mechanical Availability Damages or any other xxxxxxxx due Idaho Power will be disbursed within thirty (30) days of the date which Idaho Power receives and accepts the documentation of the monthly Net Energy actually produced by the Seller’s Facility and delivered to Idaho Power as specified in Appendix A.

Related to Mechanical Availability

  • Network Availability means the capability of the equipment to resume functions after a remotely initiated trigger has been detected by a network port;

  • System Availability means, with respect to any particular calendar month, the ratio obtained by subtracting Unscheduled Downtime during such month from the Total Monthly Time, and thereafter dividing the difference so obtained by the Total Monthly Time. Represented algebraically, System Availability for any particular calendar month is determined as follows:

  • Required Availability means Excess Availability and unrestricted cash and Cash Equivalents in an amount of not less than $5,000,000.

  • Availability Block means $15,000,000.

  • Canadian Availability means, at any time, an amount equal to (a) the lesser of (i) the aggregate Canadian Revolving Commitments at such time and (ii) the Canadian Borrowing Base at such time, minus (b) Commitment Reserves established with respect to the Canadian Loan Parties and/or the Canadian Collateral at such time minus (c) the Aggregate Canadian Credit Exposure at such time.

  • Undrawn Availability at a particular date shall mean an amount equal to (a) the lesser of (i) the Formula Amount, or (ii) the Maximum Revolving Advance Amount, minus the Maximum Undrawn Amount of all Letters of Credit, minus (b) the sum of (i) the outstanding amount of Revolving Advances, plus (ii) amounts due and owing to any Borrower’s trade creditors which are outstanding sixty (60) days or more past the due date thereof.

  • Maximum contaminant level (MCL) means the maximum permissible level of a contaminant in water which is delivered to any user of a public water system.

  • Transmission Reliability Margin or “TRM” shall mean the amount of transmission transfer capability necessary to provide reasonable assurance that the interconnected transmission network will be secure. TRM accounts for the inherent uncertainty in system conditions and the need for operating flexibility to ensure reliable system operation as system conditions change.

  • Ramping Capability means the sustained rate of change of generator output, in megawatts per minute.

  • Average Excess Availability means, with respect to any period, the sum of the aggregate amount of Excess Availability for each Business Day in such period (calculated as of the end of each respective Business Day) divided by the number of Business Days in such period.
