Maximum Number of Warrants means the maximum Cash Raise, or R$5,500 million, divided by the Warrant Exercise Price, resulting in 55 million Warrants.

Counterparty shall promptly notify Dealer of the occurrence of any of the foregoing events (including the number of Shares subject to clause (i), (ii) or (iii) and the corresponding number of Shares to be delivered) and promptly deliver such Shares thereafter.

  • Warrant Share Delivery Date shall have the meaning set forth in Section 2(d)(i).
