Material Order definition

Material Order means any ARO Order, or series of ARO Orders related to the same assets, where the estimated cost of abandonment and/or reclamation is, individually, or in the aggregate, in excess of the Threshold Amount.
Material Order means any order under Section 59 para 1 AWV which would lead to any negative economic consequences for the Parent, any Affiliates of the Parent or the Merger Sub which exceed the administrative costs for complying with such order.
Material Order means the supply of products by the Business pursuant to an accepted purchase order or series of related purchase orders and involving aggregate payments to the Business in excess of $1,300,000. For the avoidance of doubt, purchase orders shall not be deemed to be related simply by virtue of having been made by the same customer.

More Definitions of Material Order

Material Order means the court order or order of any Governmental Authority of the State issued under the Act listed on Exhibit A, Schedule 1 hereto, which list was provided by the Company in response to our request for a list of all material orders binding on the Company, the Issuer or their respective properties. C-2. No consent, approval, authorization or other action by, or filing with, any Governmental Authority pursuant to the Act or pursuant to other statutes of the State (that in our experience are typically required in connection with agreements similar to the Agreement and transactions similar to the Transaction) applicable to the Company as a result of the fact that the Company is an electric public utility, is required of the Company in connection with the execution and delivery by the Company of the Agreement and the consummation of the Transaction, except those that have already been made or obtained.
Material Order shall have the meaning set forth in Section 4.18.2(i).
Material Order means those orders, injunctions, writs or decrees of any Governmental Authority or any arbitral award to which the Company or its property is subject (“Orders”) which have been identified to us by a Responsible Officer of the Company as the only Orders that are material to the Company and which, if violated by the execution, delivery and performance by the Company of the Credit Agreement and the other Loan Documents, could reasonably be expected to have a Material Adverse Effect.

Related to Material Order

  • Initial Order means, collectively, in respect of the Bloom Lake CCAA Parties, the Bloom Lake Initial Order, and in respect of the Wabush CCAA Parties, the Wabush Initial Order;

  • Material Obligation means the material obligations of a party under the Technology Agreement, the Development Agreement or the Manufacturing and Marketing Agreement.

  • Material Action means to consolidate or merge the Company with or into any Person, or sell all or substantially all of the assets of the Company, or to institute proceedings to have the Company be adjudicated bankrupt or insolvent, or consent to the institution of bankruptcy or insolvency proceedings against the Company or file a petition seeking, or consent to, reorganization or relief with respect to the Company under any applicable federal or state law relating to bankruptcy, or consent to the appointment of a receiver, liquidator, assignee, trustee, sequestrator (or other similar official) of the Company or a substantial part of its property, or make any assignment for the benefit of creditors of the Company, or admit in writing the Company's inability to pay its debts generally as they become due, or take action in furtherance of any such action, or, to the fullest extent permitted by law, dissolve or liquidate the Company.

  • Reverse Sequential Order means (a) first, to the reduction of the Note Principal Balance of each B Note, on a Pro Rata and Pari Passu Basis, until the Note Principal Balance of each such Note is reduced to zero; and (b) second, to the reduction of the Note Principal Balance of each of A Note, on a Pro Rata and Pari Passu Basis, until the Note Principal Balance of each such Note is reduced to zero.

  • Sequential Order means (a) first, to the reduction of the Note Principal Balance of each of the A Notes and all interest thereon, on a Pro Rata and Pari Passu Basis, until the Note Principal Balance of each such Note is reduced to zero and (b) second, to the reduction of the Note Principal Balance of the B Note until the Note Principal Balance of such Note is reduced to zero.

  • Material Documents has the meaning set forth in Section 5.23.

  • Material Contract means any contract or other arrangement (other than Loan Documents), whether written or oral, to which any Credit Party is a party as to which the breach, nonperformance, cancellation or failure to renew by any party thereto could reasonably be expected to have a Material Adverse Effect.

  • Material Agreements shall have the meaning assigned to such term in Section 4.16 hereof.
