Material Intellectual Property Rights definition

Material Intellectual Property Rights has the meaning specified in Section 6.01(10).

Material Intellectual Property Rights means all Intellectual Property Rights which are material to the conduct of the business of the Company and the Company Subsidiaries taken as a whole.

Material Intellectual Property Rights means the list of Intellectual Property Rights set out in Section 9.1(9) of the Disclosure Letter.

Examples of Material Intellectual Property Rights in a sentence

• The Material Intellectual Property Rights include all the registered intellectual property rights which the Target Group Companies need to carry on the Target Group Companies' businesses as currently conducted.

• To the Seller's Knowledge, and excluding the IP License Agreements, no exclusive licenses of any Material Intellectual Property Rights owned by the Target Companies have been granted to any third party (other than customers, developers or similar partners in the ordinary course of business).

• To the Seller's Knowledge, none of such Material Intellectual Property Rights has been infringed or violated by any third party where such infringement has a Material Adverse Effect.

More Definitions of Material Intellectual Property Rights

Material Intellectual Property Rights shall have the meaning given to such term in the Securities Purchase Agreement.

Material Intellectual Property Rights means all Intellectual Property Rights that are material to the business, properties (including intangible properties), assets, liabilities, financial condition or operation or results of operations of the Company and the Company Subsidiaries, taken as a whole. Without limiting the generality of the foregoing, any Intellectual Property Right that is a material element of a material Product is a Material Intellectual Property Right.

Material Intellectual Property Rights means all material and registered (a) trade names, trademarks, trademark registrations, trademark applications, service marks, service mark registrations; (b) copyrights, copyrightable works, copyright registrations, copyright applications; (c) patent rights (including issued patents, applications, divisions, continuations and continuations-in-part, reissues, patents of addition, utility models and inventors’ certificates); licenses and sublicenses with respect to any of the foregoing; and (e) domain names and where the failure to hold such Intellectual Property Rights would have a material adverse effect on the respective Group Company;

Material Intellectual Property Rights means the list of Intellectual Property Rights set out in Section 9.1(7) of the Disclosure Letter.

Material Intellectual Property Rights means all material and registered (a) trade names, trademarks, trademark registrations, trademark applications, service marks, service xxxx registrations; (b) copyrights, copyrightable works, copyright registrations, copyright applications; (c) patent rights (including issued patents, applications, divisions, continuations and continuations-in-part, reissues, patents of addition, utility models and inventors’ certificates); licenses and sublicenses with respect to any of the foregoing; and (e) domain names and where the failure to hold such Intellectual Property Rights would have a material adverse effect on the respective Group Company;

Material Intellectual Property Rights has the meaning given to it in clause 14.1(m)(i). It includes the intellectual property rights and interests listed in annexure "A" and annexure "B" to this agreement.

Material Intellectual Property Rights means those Intellectual Property Rights which are listed in Section 3.12 of the Disclosure Schedule. "MATERIAL THIRD PARTY INTELLECTUAL PROPERTY RIGHTS" shall mean those Third Party Intellectual Property Rights which are listed in Section 3.12 of the Disclosure Schedule.
