Material FCC License definition

Material FCC License means FCC License that is, in the reasonable determination of the Borrower, material to the operation of the business of the Borrower and its Subsidiaries, taken as a whole.
Material FCC License means a FCC License, the cancellation or termination (except pursuant to an Asset Sale permitted hereby) of which could reasonably be expected to (a) result in a Material Adverse Change or (b) prevent any of the top ten Market Ranked Stations from broadcasting its digital or analog signal in accordance with the rules, regulations and requirements of the FCC.
Material FCC License means each FCC License with an appraised value in excess of $2,000,000.

  • Each Credit Party shall file or cause to be filed all necessary applications for renewal of, and shall preserve in full force and effect all, Material FCC Licenses; provided, however, that any failure to preserve any Material FCC License in full force and effect which results either from (x) the conversion of analog television stations to digital television, (y) a Relocation or (z) any asset sale, Asset Swap or other Disposition permitted hereunder shall not constitute a breach of this Section 6.8.

  • In addition, except as set forth on Schedule 3.11(g), no such investigation, notice of apparent liability, violation, forfeiture or other order or complaint issued by or before any Governmental Authority, including the FCC, or any other proceedings have occurred or been issued with respect to any Credit Party, License Subsidiary or any Material FCC License since the last renewal of each such Material FCC License.

  • No Credit Party shall take any action that could cause the FCC to institute anyproceedings for the cancellation, revocation, non-renewal, short-term renewal or adverse modification of any Material FCC License or take or permit to be taken any other action within its control that could result in non-compliance with the requirements of the Communications Laws in any material respect.

  • All Material FCC Licenses are in full force and effect and have been duly and validly issued in the name of, or validly assigned to, the respective Credit Party and, in the case of each Material FCC License is held by a LicenseSubsidiary which is a direct or indirect wholly-owned Subsidiary of the Credit Party operating the Station with respect to which such FCC License was issued.

Related to Material FCC License

  • FCC License means a License issued or granted by the FCC.

  • Material License has the meaning assigned to such term in Section 7.15.

  • Material Action means to consolidate or merge the Company with or into any Person, or sell all or substantially all of the assets of the Company, or to institute proceedings to have the Company be adjudicated bankrupt or insolvent, or consent to the institution of bankruptcy or insolvency proceedings against the Company or file a petition seeking, or consent to, reorganization or relief with respect to the Company under any applicable federal or state law relating to bankruptcy, or consent to the appointment of a receiver, liquidator, assignee, trustee, sequestrator (or other similar official) of the Company or a substantial part of its property, or make any assignment for the benefit of creditors of the Company, or admit in writing the Company's inability to pay its debts generally as they become due, or take action in furtherance of any such action, or, to the fullest extent permitted by law, dissolve or liquidate the Company.

  • Material of Environmental Concern means and includes pollutants, contaminants, hazardous wastes, and toxic, radioactive, caustic or otherwise hazardous substances, including petroleum, its derivatives, by-products and other hydrocarbons, or any substance having any constituent elements displaying any of the foregoing characteristics.

  • Material Company means, at any time:

  • Material Environmental Liabilities means Environmental Liabilities exceeding $500,000 in the aggregate.

  • Governmental Permit means any license, franchise, permit or other authorization of any Governmental Authority.

  • Pre-Existing Intellectual Property Rights means any Intellectual Property Rights vested in or licensed to the Client or the Contractor prior to or independently of the performance by the Client of the Contractor of their obligations under this Contract.
