Material Customer definition

Material Customer has the meaning set forth in Section 3.22(a).

Examples of Material Customer in a sentence

• Except as set forth on ‎Section 3.21(a) of the Disclosure Schedule, since January 1, 2023, the Company has not received written notice that any of its Material Customers have ceased, or intend to cease, to purchase goods and services from the Company, modify the terms of its Contracts with the Company, or to otherwise terminate its relationship with the Company, and during the Lookback Period, the Company has not had any material dispute with any Material Customer.

• Since May 31, 2023, no Material Customer or Material Supplier has (i) terminated or materially reduced its business relationship with the Company Group, (ii) informed the Company Group that it intends to terminate or materially reduce its business relationship with the Company Group, (iii) informed the Company Group of any material change in terms of sale or purchase or (iv) informed the Company Group of any material problem or dispute with respect to such Material Customer or Material Supplier.

• Except as set forth in Section 3.16(a) of the Disclosure Schedule, Seller has not received any written or, to Seller’s Knowledge oral, notice that any Material Customer has ceased or will cease to do business with Seller, or has reduced, or will reduce, the volume of its business with Seller and, to Seller’s Knowledge, no Material Customer plans to cease or reduce the volume of its business with Seller.

• The Loan Parties have delivered to the Lenders (i) true and complete copies (in all material respects) of all Material Customer Contracts as in effect on the Closing Date and (ii) a list of all Material Agreements affecting the operation and management of the Fiber Network Assets as in effect on the Closing Date, and such Material Customer Contracts and Material Agreements have not been modified or amended, except pursuant to amendments or modifications made available to the Administrative Agent.

• No condition or Occurrence exists that would reasonably be expected to adversely affect in any material respect the relationship of the Company Group with any Material Customer or Material Supplier.
