Master Definitions and Construction Schedule definition

Master Definitions and Construction Schedule means the master definitions and construction schedule dated on or around the date hereof and signed for identification by Clifford Chance LLP and Freshfields Bruckhaus Deringer LLP.
Master Definitions and Construction Schedule means the master definitions and construction schedule dated 6 November 2006 (as amended and restated on 21 November 2007, and amended on 28 May 2008, 24 September 2009, 1 June 2010, 6 July 2010, 8 April 2011, 15 July 2011 and 28 March 2013 and 11 December 2014 entered into by, inter alios, Funding 2, and as further amended from time to time).
Master Definitions and Construction Schedule means the Amended and Restated Master Definitions and Construction Schedule signed for the purposes of identification by Allen & Overy and Sidley Austin Brown & Wood on or about the Second Issuer Closing Date, as the same may be further amended, restated and supplemented from time to time;

  • In the event of a conflict between the Master Definitions and Construction Schedule and this Agreement, this Agreement shall prevail.

  • Except where otherwise defined herein, or where the context otherwise requires, the terms defined in the Master Definitions and Construction Schedule will have the same meanings where used in this Agreement and the Confirmation related hereto.

  • The rules of interpretation set out in the Issuer Master Definitions and Construction Schedule will apply to this Agreement.

  • In the event of any inconsistency between the definitions in this Agreement and in the Issuer Master Definitions and Construction Schedule, the definitions in this Agreement will prevail.

  • Unless otherwise defined in this Agreement or the context requires otherwise, words and expressions used in this Agreement shall have the meanings and constructions ascribed to them in the Master Definitions and Construction Schedule.

  • In the event of a conflict between the Master Definitions and Construction Schedule and this Deed, this Deed shall prevail.

  • This Agreement incorporates the Principles of Interpretation and Construction set out in the Master Definitions and Construction Schedule as though they were set out in full in this Agreement.

  • In the event of any inconsistency between any of the following, the first listed will govern: (i) the relevant Confirmation, (ii) the Credit Support Annex, (iii) this Schedule, (iv) the Master Definitions and Construction Schedule, (v) the Definitions and (vi) the printed form of the ISDA Master Agreement.

  • In particular, but without limitation, the Servicer shall promptly notify the Mortgages Trustee, the Beneficiaries and the Funding Security Trustees of the existence of any insurance policies to which the Seller is a party or in which it has an interest in addition to those specifically referred to in the definition of Insurance Policies in the Master Definitions and Construction Schedule.

  • Words and expressions defined in the Master Definitions and Construction Schedule made between the parties to the Transaction Documents (as defined therein) on or about the date of this Agreement (as the same may be amended, varied or supplemented from time to time with the consent of the parties thereto) (the "Master Definitions Schedule"), except so far as the context otherwise requires, have the same meaning in this Agreement.

Related to Master Definitions and Construction Schedule

  • Master Definitions Schedule means the amended and restated schedule of definitions relating to the Programme originally dated the Programme Effective Date and as most recently amended and restated on 18 December 2020 (as further amended, supplemented and/or replaced from time to time).

  • Acquisition and Construction Fund means the fund so designated in, and created pursuant to, Section 502 hereof.

  • Construction Schedule means a construction schedule indicating the planned start and completion dates of the major activities of the Work as set out in Appendix [ ], a future Appendix;

  • Other Definitional Provisions set forth in Section 1.2 of the Basic Servicing Agreement are incorporated by reference into this 2017-3 Servicing Supplement.

  • Original construction ’ shall mean the first or initial construction

  • Additional Clauses means the additional Clauses in Call Off Schedule 14 (Alternative and/or Additional Clauses) and any other additional Clauses set out in the Call Off Order Form or elsewhere in this Call Off Contract;

  • GENERAL AND SPECIAL CONDITIONS OF CONTRACT means the instructions to Tenderer and General and special conditions of contract pertaining to the work for which above tenders have been called for.

  • the first supplementary agreement means the agreement of which a copy is set out in the Second Schedule;

  • Annexure F means, if applicable to the Product or the subject matter of this Agreement and read conjunctively with the Contractor’s obligations in terms of the Consumer Protection Act, the express warranties provided by the Contractor in relation to the Product.

  • Existing construction means any structure for which the "start of construction" commenced before the effective date of the initial floodplain management code or ordinance adopted by the community as a basis for that community's participation in the NFIP.

  • Caribbean Basin country construction material means a construction material that—

  • Residential construction means construction on single-family or two-family dwellings occupied or used, or intended to be occupied or used, primarily for residential purposes, and includes real property pursuant to chapter 499B.

  • Certain Defined Terms As used in this Agreement, the term "Prospectus" means the applicable Portfolio's prospectus and related statement of additional information, whether in paper format or electronic format, included in the Portfolio's then currently effective registration statement (or post-effective amendment thereto), and any information that we or the Portfolio may issue to you as a supplement to such prospectus or statement of additional information (a "sticker"), all as filed with the Securities and Exchange Commission (the "SEC") pursuant to the Securities Act of 1933. 2.

  • Implementation Schedule means the Implementation Schedule in Section VII of the tendering documents.

  • Direct Construction Cost means the sum of the amounts that the Construction Manager actually and necessarily incurs for General Conditions Costs, Cost of the Work and Construction Manager’s Contingency during the Construction Phase as allowed by this Agreement. Direct Construction Cost does not include Pre-Construction Phase Fees or Construction Phase Fees.

  • Terms of Reference (TOR) means the document included in the RFP as Section 5 which explains the objectives, scope of work, activities, tasks to be performed, respective responsibilities of the Client and the Consultant, and expected results and deliverables of the Assignment/job.

  • Completion of Construction means the date, as determined by the Division after consultation with the Recipient, that the work of building and erection of the Project is substantially complete.

  • Terms of Reference (TORs) means the Terms of Reference that explains the objectives, scope of work, activities, and tasks to be performed, respective responsibilities of the Procuring Entity and the Consultant, and expected results and deliverables of the assignment.

  • New construction means, for the purposes of determining insurance rates, structures for which the "start of construction" commenced on or after the effective date of an initial FIRM or after December 31, 1974, whichever is later, and includes any subsequent improvements to such structures. For floodplain management purposes, "new construction" means structures for which the "start of construction" commenced on or after the effective date of the floodplain management regulations adopted by a community and includes any subsequent improvements to such structures.

  • WTO GPA country construction material means a construction material that—

  • Construction Agreement as used in this subsection means an agreement between Seller and any contractor or subcontractor to install the System;

  • Annex means an annex to this Agreement.

  • the Second Supplementary Agreement means the Second Supplementary Agreement, a copy of which is set out in Schedule 3;

  • Commenced Construction means (a) all of the following site preparation work is completed: ingress and egress routes exist; the site on which the Project will be located is cleared and graded; there is power service to the site; footings are prepared; and foundations have been poured consistent with purchased equipment specifications and project design; or (b) the following financial commitments have been made: (i) (A) an engineering, procurement, and construction contract (“EPC”) has been executed by all parties and is effective; or (B) contracts (collectively, “EPC Equivalents”) for all of the following have been executed by all parties and is effective: (1) project engineering, (2) procurement of all major equipment, and (3) construction of the Project, and (ii) the cumulative payments made by the Developer under the EPC or EPC Equivalents to the counterparties to those respective agreements is equal to at least thirty (30) percent of the total costs of the EPC or EPC Equivalents.

  • General Conditions means the “International Development Association General Conditions for Credits and Grants”, dated July 1, 2005 (as amended through October 15, 2006).
