Examples of Market Value in a sentence
The aggregate purchase price payable by the Surviving Corporation upon exercise of the Purchase Option and the closing of a Post-Merger Acquisition (the “Purchase Price”) shall be an amount equal to (i) the fair market value of the Company as determined in accordance with this Agreement (“Fair Market Value”), plus (ii) a premium equal to fifteen percent (15%) of the Fair Market Value.
Any valuation under Clause 15.1(i), 16.4 or 16.5 shall be binding and conclusive evidence of the Market Value of the Ship or of the other assets it refers to at the date of such valuation.
If more than one Appraisal is prepared in compliance with the foregoing sentence, then the Fair Market Value shall be value set forth in the latest Appraisal.
In any non-cash distribution, the securities or property so distributed will be distributed among the Members in the same proportion and priority as cash equal to the Fair Market Value of such securities or property would be distributed among the Members pursuant to Section 6.01.
The Fair Market Value of the Company shall be determined by a written appraisal prepared by a Qualified Appraiser (“Appraisal”).
