More Definitions of Market Interest

Market Interest means the annual rate of interest, compounded monthly (applied on a daily basis or such other periodic basis as the Manager shall determine) which shall equal the greater of (a) the announced prime rate of interest being charged from time to time by the primary commercial bank in the State of New York with which the Company usually does business (but if there by no such bank, then such commercial bank in the State of New York as is selected by the Manager) plus 1%, or (b) 100% of the Applicable Federal Rate in effect as of the date of the promissory note or other indebtedness as determined under Section 1274 of the Code, but only if Section 1274 shall apply).
Market Interest there is no substantial U.S. market interest (as defined in Regulation S under the Securities Act) in the Issuer's debt securities;
