Market Interest means “substantial U.S. market interest” as that term is defined in Regulation S;

  • It is, and on the Closing Date will be, a Foreign Issuer with no Substantial U.S. Market Interest with respect to any of its securities.

Market Interest means the annual rate of interest, compounded monthly (applied on a daily basis or such other periodic basis as the Manager shall determine) which shall equal the greater of (a) the annual rate of interest being charged from time to time by the primary commercial bank in the State of New York with which the Company usually does business (but if there by no such bank, then such commercial bank in the State of New York as is selected by the Manager for prime credit risk borrowers) plus 1%, or (b) 100% of the Applicable Federal Rate in effect as of the date of the promissory note or other indebtedness as determined under Section 1274 of the Code, but only if Section 1274 shall apply).

Market Interest means "substantial U.S. market interest" as defined in Rule 902(j) of Regulation S; U.S. Exchange Act means the United States Securities Exchange Act of 1934, as amended, including the rules and regulations adopted by the SEC thereunder; and U.S. Subscription Agreement means the final form of Subscription Agreement as agreed to by the Agent and the Corporation, substantially in the form attached to the U.S. Placement Memorandum. All other capitalized terms used but not otherwise defined in this Schedule "A" shall have the meanings assigned to them in the Agency Agreement to which this Schedule "A" is attached.
Market Interest means the interest rate determined by the agency to be the interest rate generally available in the private market for similar housing loans.
Market Interest means "substantial U.S. market interest" as that term is defined in Rule 902(j) of Regulation S. "U.S. Placement Memorandum" means the U.S. private placement memorandum to be delivered together with the Prospectus to any offeree or purchaser that is a U.S. Person or a "U.S. Subscription Agreement" means the U.S. subscription agreement substantially in the form attached as Exhibit I to the U.S. Placement Memorandum.
