  • The trustee of said collective trust shall be appointed as either a co-trustee or Investment Manager of the Plan, effective upon the Trustee's receipt of a copy of an appropriate Investment Committee resolution (or such later effective date as may be contained therein), and the investment in said collective trust shall continue in effect until receipt by the Trustee of a copy of an Investment Committee resolution terminating said investment (or such later effective date as may be contained therein).

  • The Plan Administrator and the Manager of the Plan may delegate any of their duties hereunder to such person or persons as they may designate from time to time.

  • The trustee of the Trust will act in accordance with the instructions of the Technical Committee of the Trust (the “Technical Committee”), which will be designated by the Manager of the Plan (and may be the same persons as the Manager); therefore, any decisions that are determined by the Manager in accordance with the terms of this Plan will be implemented through the Technical Committee for purposes of the Trust.

  • The Plan shall be interpreted, administered, and operated by the Manager of the Plan and the Plan Administrator, each of whom shall have complete authority, in his or their sole discretion, to interpret the Plan, to prescribe, amend, interpret and rescind rules and regulations relating to the Plan, and to make all of the determinations necessary or advisable for the administration of the Plan.

  • No Employee shall be eligible to receive Salary Continuance or any other benefits under the Plan unless he first executes a valid and legally binding release in writing, in a form and manner prescribed by the Manager of the Plan, releasing the Black & Decker Companies and their employees, officers and directors from claims and liabilities of any kind relating to the Employee’s employment.

  • The Manager of the Plan shall, within 60 days after receipt of the written claim, send a written notification to the Employee as to its disposition.

  • An Employee shall file a written claim with the Manager of the Plan in order to receive Salary Continuance or any other benefits under the Plan.

  • The Manager of the Plan and the Plan Administrator shall have the absolute right to determine in his or their sole discretion (a) whether or not an Employee’s employment was terminated for Cause, and (b) whether or not an Employee has entered into competition with a Black & Decker Company or has disclosed confidential information so as to cause a forfeiture of the Employee’s rights and benefits hereunder.SECTION 7.

  • Member of the Board means an individual who is a member of the Board or of the board of directors of a Subsidiary or an Affiliate.

  • Member of the minor s family" means the minor's parent, stepparent, spouse, grandparent, brother, sister, uncle, or aunt, whether of the whole or half blood or by adoption.

  • Member of the immediate family of the producer means a person who is related to a producer described in Subsection 59-12-104(20)(a) as a:

  • ordinary member of the committee means a member of the committee who is not an officer of the Association under Rule 21;

  • Member of the family shall have the meaning prescribed by Code Section 529(e)(2), and shall mean any individual who bears one of the following relationships to the beneficiary:

  • Member of the Group means any one of them.

  • Traditional member of the National Guard or federal reserves means an active member of the Selected Reserve subject to mobilization and deployment for which he or she attends monthly and annual training periods.

  • Member of the clergy means a clergyman or practitioner of any religious denomination accredited by the religious body to which he or she belongs.

  • the Board means the board of directors of the Company;

  • Member of the Immediate Family means spouse, parent or stepparent, child or stepchild, brother or sister, stepbrother or stepsister, brother-in- law or sister-in-law, mother-in-law or father-in-law, or son-in-law or daughter-in-law.

  • Management Committee means in the case of a Competition which is an unincorporated association, the management committee elected to manage the running of the Competition and where the Competition is incorporated it means the Board of Directors appointed in accordance with the articles of association of that company.

  • Member of the Service means a person appointed in a substantive capacity under the provisions of these rules and orders/rules in force previous to the commencement of these rules, to a post in the cadre of the service.

  • The Board of Directors or "Board" means all those persons appointed to perform the duties of directors of the society;

  • Independent living program means a program designed to assist a juvenile to enhance skills and abilities necessary for successful adult living and may include but shall not be limited to minimal direct staff supervision and supportive services in making the arrangements necessary for an appropriate place of residence, completing an education, vocational training, obtaining employment or other similar services;

  • Board or Board of Directors means the Board of Directors of the Company.

  • Retirement Committee means a committee consisting of the Company’s Vice President of Human Resources, the Director of HR Operations and the Compensation & Benefits Manager.

  • Company Board of Directors means the board of directors of the Company.

  • Executive Committee means a group of directors elected or appointed to act on behalf of, and within the powers granted to them by, the Commission.
