Management Notes as defined in Section 7.6(b).
Management Notes means the subordinated notes issued by the Domestic Borrower or any Subsidiary to existing or former employees, officers, consultants or directors of the Domestic Borrower or any Subsidiary in consideration for such Person’s Equity Interests in the Domestic Borrower or any Subsidiary, in each case subordinated to the Obligations on terms and conditions reasonably satisfactory to the Administrative Agent.
Management Notes means the Subordinated Promissory Note by and between Saratoga and Thomas F. Cooke dated on or about July 14, 2008, and the Subordinated Promissory Note by and between Saratoga and Andrew Clifford also dated on or about July 14, 2008.

More Definitions of Management Notes
Management Notes means $5,500,000 in aggregate original principal amount of Management Notes of the Company issued on the date hereof, as well as (i) any Notes issued in exchange therefor or upon transfer thereof and (ii) any increase in the principal amount thereof pursuant to paragraph 1 of such Notes. All such Notes shall be considered one series.
Management Notes means up to $25,000,000 aggregate principal amount of 8% convertible senior secured third lien notes due 2016 of the Company, having terms and conditions that are not less favorable to the Company than the Convertible Notes and with respect to which the holders (or a trustee or agent on behalf of such holders) shall have executed a supplement to the Intercreditor Agreement agreeing to be bound thereby on the same terms applicable to the holders of Convertible Notes.
