Management Incentive Plans means, collectively, the New NTL Management Incentive Plan and the Euroco Management Incentive Plan.
Management Incentive Plans means, collectively, the compensation, incentive, and benefit plans (including any associated award and option agreements) applicable to certain officers, directors and/or employees of the Debtors and/or Reorganized Debtors, as described in Exhibit 3 to the Plan and in substantially the forms included therein, which compensation, incentive and benefit plans shall include, without limitation, the Debtors’ 2010 Management Incentive Plan, 2009 Long-Term Incentive Plan, and an equity-based incentive plan that provides for or otherwise permits, among other things (i) a reservation of eight percent (8%) on a fully diluted basis of the New SSCC Common Stock that is issued or reserved for issuance pursuant to the Plan (including shares reserved for issuance pursuant to the Management Incentive Plans and shares held in the SSCE Distribution Reserve as of the Effective Date) (i.e., 8,695,652 shares of the New SSCC Common Stock) and (ii) an allocation of equity-based awards to certain officers and other employees of the Reorganized Debtors (either individually or in the aggregate) that the Reorganized Debtors shall grant at, and as of, such times as are set forth in Exhibit 3 to this Plan.
