Management Fee Rate definition

Management Fee Rate means the Management Fee Rate as may be specified in the relevant Supplement.

Management Fee Rate shall have the meaning set forth in Annex A. “Marks” shall have the meaning set forth in Section 8.14.
Management Fee Rate means a maximum of: (a) 2.5% per annum (0.625% per quarter), if the Management Fee Base is equal to or less than $60 million; (b) 2% per annum (0.5% per quarter), if the Management Fee Base is equal to or greater than $120 million; and (c) if the Management Fee Base is greater than $60 million and less than $120 million, the per annum rate derived from the following formula: 2.5% - (.5% x ((Management Fee Base - $60 million)/$60 million))).

For purposes of calculating the Management Fee with respect to a Limited Partner, the General Partner shall aggregate the Interests held by such Limited Partner across all the Capital Accounts held by such Limited Partner. The Management Fee will be paid monthly in arrears, generally within fifteen (15) Business Days after the last day of each calendar month; provided that the Management Fee, with respect to any Interest(s) withdrawn other than on the last Business Day of a calendar month, will be paid as of the relevant Withdrawal Date, and will be based on the Capital Account balance of the Interest being withdrawn as of such Withdrawal Date and adjusted pro rata to reflect the withdrawal intra-month. The General Partner may waive, modify, reduce or calculate differently the Management Fee to be borne directly or indirectly by a Limited Partner for any reason in its sole discretion, including to reflect matters such as the amount of the Limited Partner’s investment and its commitment to maintain its investment in the Onshore Partnership. The General Partner may share the Management Fee, in whole or in part, with any other person or entity, including its Affiliates, in its sole discretion. Interests held by the General Partner and its Affiliates are not subject to the Management Fee. Incentive Allocation. The General Partner shall be allocated an Incentive Allocation as follows:
Management Fee Rate. With respect to any Payment Date, the Management Fee expressed as a percentage of the Aggregate Principal Balance as of the last day of the Due Period preceding such Payment Date.
