Managed Practice definition

Managed Practice has the meaning ascribed to such term in the Class D Purchase Agreement.
Managed Practice means Elite Body Sculpture, P.C., Madison Avenue Medical PLLC, EBS Illinois, LLC, EBS - Texas, LLC, EBS Georgia, LLC and any other corporation, limited liability company, partnership or association that is party to a management services agreement or similar agreement with the Company or any of the Company’s affiliates for the rendering of certain management services and other related services by the Company or any of the Company’s affiliates.   • Additionally, none of the Company, its Subsidiaries, the Managed Practice or any of its respective employees, officers or directors, nor to the Company’s knowledge, any of its agents, has been excluded, suspended or debarred from participation in any Program or human clinical research or, to the knowledge of the Company, is subject to a governmental inquiry, investigation, proceeding, or other similar Action that could reasonably be expected to result in debarment, suspension, or exclusion.

  • None of the Company, the Subsidiaries, the Managed Practice or any of its respective officers, directors, employees or, to the Company’s knowledge, agents, have engaged in activities which are, as applicable, cause for false claims liability, civil penalties, or mandatory or permissive exclusion from Medicare, Medicaid, TRICARE or any other state or federal healthcare program (collectively, the “Programs”).

  • Except as disclosed in the Registration Statement and the Prospectus, none of the Company, any Subsidiary or the Managed Practice has received any notice of denial of payment, recoupment, or overpayment from any Program or other third-party payor in excess of Five Hundred Thousand Dollars ($500,000).

  • The Company, its Subsidiaries and the Managed Practice are presently in material compliance with all applicable laws or statutes and all judgments, orders, rules and regulations of any court or arbitrator or governmental or regulatory authority, internal policies and contractual obligations relating to the privacy and security of IT Systems and Personal Data and to the protection of such IT Systems and Personal Data from unauthorized use, access, misappropriation or modification.

  • Except as set forth in the SEC Reports, none of the Company, any of its Subsidiaries or the Managed Practice is a party to, and has any ongoing reporting obligations pursuant to any corporate integrity agreement, deferred prosecution agreement, monitoring agreement, consent decree, settlement order, plan of correction or similar agreement imposed by any governmental or regulatory authority.

Managed Practice means Xxxxxxxx Pathology, LLP d/b/a Avero Diagnostics.

Managed Practice means any professional association, professional corporation, partnership or similar Person that provides ear, nose, throat, head, neck or related services (including, without limitation, services in the fields of allergy, audiology, oral surgery, pulmonology, plastic surgery or sleep medicine) which has entered into a Service Agreement with the Borrower or any of its Subsidiaries.
Managed Practice means any medical professional association, professional corporation, partnership or similar entity that provides medical services at a center, clinic or other facility operated or managed by the Company or any of its Subsidiaries pursuant to a Management Services Agreement, or at a hospital or hospital department with which the Company or any of its Subsidiaries has a Management Services Agreement.
