Make-Whole Premium definition

Make-Whole Premium means, with respect to a Note at any redemption date, the greater of:
Make-Whole Premium means, with respect to a Note at any time as calculated by the Issuer, the excess, if any, of (a) the present value at such time of (i) the redemption price of such Note at [ ], 2021 pursuant to Section 1103(a) plus (ii) any required interest payments due on such Note through [ ], 2021 (except for currently accrued and unpaid interest), computed using a discount rate equal to the Treasury Rate at such time plus 50 basis points, discounted to the redemption date on a semi-annual basis (assuming a 360-day year consisting of twelve 30-day months), over (b) the principal amount of such Note.
Make-Whole Premium means with respect to a Note at any Redemption Date, the greater of (i) 1.0% of the principal amount of such Note or (ii) the excess of (A) the present value of (1) the redemption price of such Note at March 1 , 2024 (such redemption price being set forth in the table in Section 3.01(c)) plus (2) all required interest payments due on such Note through March 1, 2024 (excluding accrued but unpaid interest), computed using a discount rate equal to the Treasury Rate plus 50 basis points, over (B) the principal amount of such Note.

Examples of Make-Whole Premium in a sentence

  • Any Make-Whole Premium required to be made pursuant to the foregoing clause (i) after acceleration shall be reduced by the amount of interest accruing following such acceleration through such repayment.

  • If any principal of the Advance is prepaid (whether voluntarily by the Borrower or otherwise, and regardless of the source of prepayment), then on the prepayment date there shall be due and owing, and the Borrower shall pay on the amount of principal prepaid (i) all accrued but unpaid interest, calculated up to the prepayment date, (ii) the Prepayment Fee and (iii) a Make-Whole Premium, if any.

  • The Borrower and the Lenders (as opposed to the Administrative Agent) shall be responsible for calculating the Make-Whole Premium.
