Holder affirms and acknowledges that upon the conversion of this Note pursuant to this Section 3(c), the Company shall not be required to pay any of the applicable Make-Whole Amount to the Holder, nor shall the Optional Conversion include any of the applicable Make-Whole Amount in the calculation of the number of shares of Common Stock issuable in such conversion.
The number of Listed Securities into which this Notes so converts will equal the quotient (rounded down to the nearest whole share) obtained by dividing (x) the sum of (i) the outstanding principal balance and unpaid accrued interest under this Note as of the date prior to the Closing of the de-SPAC Transaction or Reverse Public Merger, as applicable, plus (ii) the applicable Make-Whole Amount (such sum, the “Conversion Amount”), by (y) the Conversion Price as in effect on such date.
