Major Investor definition

Major Investor means any Investor that, individually or together with such Investor’s Affiliates, holds at least 1,000,000 shares of Registrable Securities (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof).

Major Investor means a holder of one or more Safes if (i) the aggregate Purchase Amounts of such Safes is equal to or greater than $25,000 and (ii) Wefunder, Inc. has verified that such holder is an accredited investor in accordance with Rule 506(c) of Regulation D under the Securities Act.

Major Investor means any Investor in a Crowd Note in which the Purchase Price is equal to or greater than $25,000.

Examples of Major Investor in a sentence

• The Major Investor shall have a right to convert, in its sole discretion, any Crowd SAFEs then held by the Major Investor upon the closing of the First Equity Financing into a number of shares of the CF Shadow Series of Capital Stock in accordance with Section 1(a).

• The Major Investor shall have a right to convert, in its sole discretion, any Crowd Safes then held by the Major Investor upon the closing of the First Equity Financing into a number of shares of the CF Shadow Series of Capital Stock in accordance with Section 1(a).

• Subject to the terms and conditions of this Subsection 4.1 and applicable securities laws, if the Company proposes to offer or sell any New Securities, the Company shall first offer such New Securities to each Major Investor.

• If the Company proposes to issue any Equity Securities, it shall give each Major Investor written notice of its intention, describing the Equity Securities, the price and the terms and conditions upon which the Company proposes to issue the same.

More Definitions of Major Investor

Major Investor means any Investor that, individually or together with such Investor’s Affiliates, holds at least two percent (2%) of the Preferred Shares then outstanding, or an equivalent amount of Ordinary Shares at the then-applicable conversion ratio.

Major Investor means any person who holds at least 1,000,000 shares of the Preferred Stock (or the Common Stock issued upon conversion thereof). For purposes of this Section 2.3, Major Investor includes any general partners and affiliates of a Major Investor. A Major Investor who chooses to exercise the right of first offer may designate as purchasers under such right itself or its partners or affiliates in such proportions as it deems appropriate. Each time the Company proposes to offer any shares of, or securities convertible into or exercisable for any shares of, any class of its capital stock ("Shares"), the Company shall first make an offering of such Shares to each Major Investor in accordance with the following provisions:

Major Investor means any holder of Preferred Stock holding that holds at least 5% of the outstanding shares of Common Stock (assuming conversion of all outstanding Preferred Shares) of the Company;

Major Investor means an Investor who holds (i) at least 739,334 shares (as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations or the like) of Series A-2 Preferred Stock, Series A-1 Preferred Stock, or Series A Preferred Stock, (ii) at least 1,094,436 shares (as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations or the like) of Series B-2 Preferred Stock, Series B-1 Preferred Stock, or Series B Preferred Stock, or (iii) at least 1,833,770 shares (as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations or the like) of Preferred Stock total.

Major Investor means an Investor holding at least one million (1,000,000) shares of Preferred Stock (or Common Stock issued upon conversion of Preferred Stock).

Major Investor means any person who holds at least 1,300,000 shares of the Preferred Stock or the Common Stock issued upon conversion thereof (subject to adjustment for stock splits, stock dividends, combinations, reclassifications or the like). A Major Investor includes any general partners, managing members and affiliates of a Major Investor, including Affiliated Funds;

Major Investor means (a) any Investor that, individually or together with such Investor’s Affiliates, holds at least [5,000,000] shares of Registrable Securities (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof), (b) Fall Line, so long as it continues to own beneficially at least [2,500,000] shares of Registrable Securities, (c) Morningside, so long as it continues to own beneficially at least [2,500,000] shares of Registrable Securities, (d) Continental, so long as it continues to own beneficially at least [2,500,000] shares of Registrable Securities, and (e) S2G, so long as it continues to own beneficially at least [2,500,000] shares of Registrable Securities.
