MAC Notes. The Classes of Modifiable And Combinable STACR® Notes shown on
MAC Notes means the Classes of Modifiable And Combinable STACR Notes set forth on Exhibit A to the Exchange Administration Agreement, which are exchangeable for Exchangeable Notes, as described in the Exchange Administration Agreement and which represent interests in the Exchangeable Notes.
MAC Notes means the Classes of Modifiable And Combinable STACR® Notes shown on Exhibit A.

Examples of MAC Notes in a sentence

  • The Interest Only MAC Notes are not entitled to receive payments of principal.

  • If on the Early Redemption Date a Class of MAC Notes that is entitled to principal is outstanding, all principal amounts that are payable by Freddie Mac on Class M Notes that were exchanged for such MAC Notes will be allocated to and payable on such MAC Notes in accordance with the exchange proportions applicable to the related Combination.

  • With respect to each of the Class M Notes, the Class B Notes and the MAC Notes, such reporting information shall be in a form substantially similar to, and include the information listed in, the sample forms provided in Exhibit J attached hereto.

  • The entity selected by Freddie Mac to act as its exchange administrator for the MAC Notes, which as of the Closing Date is U.S. Bank.

  • Pursuant to the terms of the Global Agency Agreement, the Global Agent shall calculate the Class Coupons for the applicable Classes of Notes (including MAC Notes on which the Exchange Administrator has directed the Global Agent to make payments) for each Accrual Period (after the first Accrual Period) on the applicable LIBOR Adjustment Date.

  • If on the Maturity Date or any Payment Date a Class of MAC Notes is outstanding, all Tranche Write-up Amounts that are allocable to Class M Notes that were exchanged for such MAC Notes will be allocated to increase the Class Principal Balances or Notional Principal Amounts, as applicable, of such MAC Notes in accordance with the exchange proportions applicable to the related Combination.

  • On each Payment Date on or prior to the Termination Date, the Class Principal Balance of each Class of Original Notes will be increased (in each case without regard to any exchanges of Class M Notes for MAC Notes) by the amount of the increase, if any, in the Class Notional Amount of the Corresponding Class of Reference Tranche due to the allocation of Tranche Write-up Amounts to such Class of Reference Tranche on such Payment Date pursuant to Section 3.03(c) above.

  • If on the Maturity Date or any Payment Date a Class of MAC Notes is outstanding, all Tranche Write-down Amounts that are allocable to Class M Notes that were exchanged for such MAC Notes will be allocated to reduce the Class Principal Balances or Notional Principal Amounts, as applicable, of such MAC Notes in accordance with the exchange proportions applicable to the related Combination.

  • In the case of an early redemption as described in (a) above, if a Class of MAC Notes that is entitled to principal is outstanding, all principal amounts that are payable by Freddie Mac on Class M Notes that were exchanged for such MAC Notes will be allocated to and payable on such MAC Notes in accordance with the exchange proportions applicable to the related Combination.

  • Payments of principal and interest in respect of Original Notes, and MAC Notes representing interests in the Class M Notes, shall be made by Issuer through the Global Agent in accordance with the terms set forth in the Debt Agreement and the Exchange Administration Agreement.

Related to MAC Notes

  • DTC Notes means Notes cleared, settled and maintained on the DTC System, registered in the name of a nominee of DTC. All of the Notes will be DTC Notes at issuance.

  • 2028 Notes has the meaning specified in the recitals of this Supplemental Indenture.

  • 2014 Notes means (i) the 4.850% Senior Secured Notes due 2024 issued by the Issuer on March 18, 2014 and (ii) the 4.45% Senior Secured Notes due 2025 and the 5.45% Senior Secured Notes due 2034 issued by the Issuer on August 21, 2014.

  • Class E Notes has the meaning assigned to such term in the Indenture.

  • Class D Notes has the meaning assigned to such term in the Indenture.

  • 2022 Notes means the 4.875% Senior Notes due 2022, originally issued by Rowan Companies, Inc., a Delaware corporation.

  • Subordinated Notes means the Initial Notes and the Exchange Notes and, more particularly, any Subordinated Note authenticated and delivered under this Indenture, including those Subordinated Notes issued or authenticated upon transfer, replacement or exchange.

  • Class C Notes has the meaning assigned to such term in the Indenture.

  • Class B Notes has the meaning assigned to such term in the Indenture.

  • 2012 Notes means the 5.125% Senior Secured Notes due 2022 issued by the Issuer on July 2, 2012.

  • Fundserv Notes means Notes purchased through Fundserv.

  • 2019 Notes has the meaning set forth in the definition of “2018 Exchange Offers”.

  • Class A Notes means the Class A-1 Notes, the Class A-2 Notes, the Class A-3 Notes and the Class A-4 Notes.
