LTI Awards means any portion of any compensation attributable to a Plan Year that is denominated in shares of Stock and is earned by a Participant under the Company’s Stock Incentive Plan or any other long-term incentive arrangement maintained by the Company or an Employer and designated by the Committee, and including restricted stock unit awards, performance awards, bonus share awards and any other awards granted by the Company, in each case to the extent deferral of such award is permitted by the Committee, but excluding any stock options and stock appreciation rights granted by the Company.

LTI Awards means, collectively, the grants under any LTI Plan of equity or equity-based awards (including, without limitation, stock options, stock appreciation rights, restricted stock, restricted stock units and other stock or cash based awards (including phantom equity).

Examples of LTI Awards in a sentence

• The time of payment of LTI Awards subject to Special Pro-Rata Vesting shall occur as provided in the applicable LTI Awards.

• The terms and conditions (including terms and conditions relating to treatment upon a termination of employment and upon a Change in Control) of the awards granted in respect of such Annual LTI Awards shall be no less favorable than those applicable to other peer executives of the Company and its Affiliates.

• LTI Awards at target performance are determined annually based on Company performance goals and market data for similarly situated executives at peer companies.

• The Company may, in its sole discretion, decide (a) to deliver any documents related to the LTI Award, the Grantee’s participation in the Plan, or future LTI Awards by electronic means, or (b) to request the Grantee’s consent to participate in the Plan by electronic means.

• The Executive’s Annual LTI Awards shall be determined by the Compensation Committee on the same basis as, and shall have terms and conditions no less favorable than those that apply to, other situated executive officers of the Company.

More Definitions of LTI Awards

LTI Awards shall be deemed to include those certain stock options and restricted stock units granted to the Executive pursuant to the terms of the Stock Incentive Plan on or about November 3, 2005, which such grants subsequently were approved by the Board (the "November 2005 Grant"). The parties acknowledge and agree that this Agreement modifies the terms and conditions applicable to the November 2005 Grant and that such grant as so modified may not comply with the terms of Section 409A of the Code. In the event that the November 2005 Grant, as modified by the terms hereof, is deemed to not comply with Section 409A, the Company and the Executive agree to renegotiate the applicable terms of this Agreement so that either (i) Section 409A will not apply or (ii) compliance with Section 409A will be achieved. Finally, any and all future LTI Awards shall be deemed made subject to any and all terms of this Agreement applicable to LTI Awards, notwithstanding any contrary provision of any underlying long-term incentive plan or award agreement, such that this Agreement shall not be deemed to modify any such future LTI Award.

LTI Awards means any stock options, restricted stock, restricted stock units (both time-based and performance based), stock appreciation rights, phantom stock or other equity-based awards granted by the Company to Executive.

LTI Awards means, with respect to a Participant, long-term incentive awards received pursuant to one or more of the Company’s long-term incentive programs.

LTI Awards means all long-term incentive awards (other than Stock Rights) granted to Employee by the Company or its subsidiaries under a “Long Term Incentive Plan” or otherwise that are outstanding immediately prior to the date of Employee’s termination of employment.

LTI Awards means awards granted under the MPLX LP 2018 Incentive Compensation Plan and any successor plan(s) or alternative arrangements, including without limitation: options, unit appreciation rights, restricted units, phantom units, units and other unit-based awards, profits interest units, performance-based awards of cash or units, and other rights, interests or options relating to units or other property (including cash).

LTI Awards means any stock options, restricted stock, restricted stock units, stock appreciation rights, phantom stock or other equity-based awards granted by the Company to the Executive.

LTI Awards means awards, other than the Annual Cash Bonus, granted under the Marathon Petroleum Corporation 2021 Incentive Compensation Plan and any successor plan(s) or alternative arrangements, including without limitation: stock options, stock appreciation rights, restricted stock, restricted stock units, shares and other share-based awards, performance-based awards of cash, shares or units, and other rights, interests or options relating to shares or other property (including cash).
