  • Seller shall be responsible for truck detention and/or rail demurrage charges incurred by Buyer which arise out of delays to carrier equipment at Lorain Works receiving shipments of Rounds ordered hereunder which have been scheduled by Seller, it being understood that Seller will ordinarily schedule such shipments.

  • Seller shall also have a right of first refusal (but not the obligation) to supply Buyer's requirements for coke for the second blast furnace at Lorain Works in the event Buyer operates both blast furnaces simultaneously.

  • The Product Price for such Pellets shall be the Product Price in effect hereunder at the time the Pellets were first received by Buyer and placed into bailment storage at Lorain Works; provided, however, that if more than one vessel is stored in a Storage Pile, then the number of iron units in each Ton removed from such Storage Pile, together with the Transportation Charge for each such Ton, shall be determined, for billing purposes, on a "first-in-first-out" basis.

  • Except as otherwise provided in Section 2.5 with respect to Coke subject to alternate disposition, title and risk of loss and damage to the Coke shall pass from Seller to Buyer when the Coke is delivered in accordance with this Section 2.7. Unless otherwise agreed to by Buyer, Seller shall use its best efforts to schedule such deliveries of Coke in amounts and at intervals commensurate with Lorain Works' rate of consumption.

  • Seller shall also have a right of first refusal (but not the obligation) to supply Buyer's requirements for the second blast furnace at Lorain Works in the event Buyer operates both blast furnaces simultaneously.

  • Buyer shall be responsible for providing a safe berth at Lorain Works for all vessels making deliveries hereunder.

  • USX will continue to administer claims and make payments under the USX program of insurance benefits for pre-1989 Lorain Works' retirees and their beneficiaries, as required under the USS/Kobe Formation Agreement and Section 11.1(h).

  • Amount also reflects the recognition of an obligation associated with retiree medical benefits for pre-1989 Lorain Works' retirees which had been assumed by F-23 Republic Technologies Holdings, LLC (Republic).

  • USX shall retain all responsibility and liability, as a Retained Liability, for: (i) the costs of completing the entire asbestos survey authorized at the Lorain Works in existence at June 30, 1989; and (ii) the costs of remediating all asbestos and asbestos-containing material identified as friable in the Lorain Works asbestos survey in existence at June 30, 1989.

  • For rolled Rounds, if any, Buyer will issue to Seller an order, which shall be binding on both parties, for rolling of Rounds during the two (2) weeks of production at Seller's Lorain Works rolling mill, five (5) days prior to the start of the two week production period, setting forth the number of Rounds required by size, steel grade, specification and Round Billet Number for that period.

  • The Works means the work or works to be executed or done under this contract.

  • Demolition works means any physical activity to tear down or break up a structure (or part thereof) or surface, or the like, and includes the loading of demolition waste and the unloading of plant or machinery.

  • Construction Works means all works and things necessary to complete the Project in accordance with this Agreement;

  • Work Products are defined as all materials, tangible or not, created in whatever medium pursuant to this Agreement, including without limitation publications, promotional or educational materials, reports, manuals, specifications, drawings and sketches, computer programs, software and databases, schematics, marks, logos, graphic designs, notes, matters and combinations thereof, and all forms of intellectual property.

  • Minor Works has the meaning given to it in paragraph 2.7(a) of Schedule 4 (Persons with Disabilities and Disability Discrimination);

  • Ex Works means that the seller delivers when it places the goods at the disposal of the buyer at the seller’s premises or at another named place (i.e.,works, factory, warehouse, etc.). The seller does not need to load the goods on any collecting vehicle, nor does it need to clear the goods for export, where such clearance is applicable.

  • Project IP means any Intellectual Property created, invented or discovered in carrying out the Project including in respect of the Project Results but does not include Background IP or copyright in a Student’s thesis or other material produced by him/her for the purpose of assessment towards his/her degree.

  • Project IPR means all Intellectual Property Rights that arise or are obtained or developed by either party, or by a contractor on behalf of either party, in respect of the Deliverables in the course of or in connection with the Project;

  • Development Works means the external development works and internal development works on immovable property;

  • Work Product means any and all works, including work papers, notes, materials, approaches, designs, specifications, systems, innovations, improvements, inventions, software, programs, source code, documentation, training materials, audio or audiovisual recordings, methodologies, concepts, studies, reports, whether finished or unfinished, and whether or not included in the Deliverables, that are developed, produced, generated, or provided by Contractor in connection with Contractor’s performance of its duties under the Contract or through use of any funding provided under this Contract.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Scope of Works means the sections of the RFQ detailing the technical requirements of the work to be carried out as existing at the Date of Acceptance of the Quotation and any modification of such Works thereafter directed or the use of which has been permitted by the Superintendent for the purposes of the Contract.

  • New Technology means any invention, discovery, improvement, or innovation that was not available to the District on the effective date of the contract, whether or not patentable, including, but not limited to, new processes, emerging technology, machines, and improvements to or new applications of existing processes, machines, manufactures and software. Also included are new computer programs, and improvements to, or new applications of, existing computer programs, whether or not copyrightable and any new process, machine, including software, and improvements to, or new applications of, existing processes, machines, manufactures and software.
