Reference is made to that certain (i) Sale and Purchase Agreement dated 20 March 2008, as amended by the Amendment Agreement dated April 2, 2008 (as amended, the “ Purchase Agreement”) among AIL, the Business Vendors (as defined therein), Avecia Limited, the Local Purchasers (as defined therein) and Pthn US and (ii) letter of credit issued by Silicon Valley Bank (being L/C Number SVBSF005177: Expiry Date 16 October 2009) pursuant to Schedule 7 of the Purchase Agreement (the “SVB Letter of Credit”).

Neither party (treating for this purpose the Vendors as a single party and the Purchaser and the Local Purchasers as a single party) shall be obliged to proceed to Completion unless the other party is simultaneously ready and able to proceed to Completion.
