Local Counsel Opinion an opinion letter delivered by local counsel reasonably acceptable to Agent and in the jurisdiction in which any Eligible Real Property is located with respect to the validity and enforceability of a Mortgage (and any Lien granted thereunder) and any related fixture filings and containing other such customary opinions of local counsel reasonably requested by Agent, in form and substance reasonably satisfactory to Agent.

Local Counsel Opinion means a legal opinion or memorandum from outside local counsel to the Originator or any Affiliate of the Originator qualified to practice in each jurisdiction in which the Originator intends to make Eligible Insurance Premium Loans addressed to the Originator or such Affiliate, which explicitly states that Lenders, the Agents and Early Bird Capital, Inc. may rely thereon, and dated, with respect to a Local Counsel Opinion related to the first Eligible Insurance Premium Loan to be issued in a particular jurisdiction, no earlier than sixty days prior to the date on which the Originator first makes an Eligible Insurance Premium Loan, and which shall be updated not less than once each year, addressing each of the questions set forth on Exhibit K hereto pursuant to the laws, rules and regulations of such jurisdiction as in effect as of the date of such Local Counsel Opinion.

Related to Local Counsel Opinion

  • Special Counsel means an "independent legal counsel" as defined in Reg. §270.0-1(a)(6) promulgated under the 1940 Act, and such counsel shall be selected by a majority of the Independent Non-Party Directors.

  • Legal Opinion means any legal opinion delivered to the Agent under Clause 4.1 (Initial conditions precedent) or Clause 29 (Changes to the Obligors).

  • Chief Administrative Officer or “CAO” means the administrative head of a municipality as appointed by Council under clause 86(2)(c) of the Municipal Government Act.

  • Counsel means a barrister and/or solicitor or a firm of barristers and/or solicitors retained by the Warrant Agent or retained by the Corporation, which may or may not be counsel for the Corporation;
