LNG Terminal Agreement means a contract entered into between a person and the Facility Operator, pursuant to which such person is entitled to utilise the Facility for the unloading and storage of LNG and the delivery of Natural Gas;
Existing Term Loan Agreement means that certain Term Loan Credit Agreement dated as of October 22, 2010 by and among Holdings, the Company, as borrower, the Subsidiary Guarantors, the lenders party thereto from time to time and Xxxxx Fargo Bank, National Association, as administrative agent and collateral agent, as amended, restated, supplemented or otherwise modified from time to time.
Original Agreement has the meaning set forth in the recitals.
Secondment Agreement is defined in Section 2.2.
Traineeship Agreement means an agreement made subject to the terms of this award between an employer and the trainee for a traineeship and which is registered with the appropriate state training authority, NETTFORCE, or under the provisions of the appropriate state legislation. A traineeship agreement shall be made in accordance with the relevant approved traineeship scheme and shall not operate unless this condition is met.
Employment Agreement means each management, employment, severance, consulting, relocation, repatriation, expatriation, visas, work permit or other agreement, or contract between the Company or any Affiliate and any Employee.
Omnibus Agreement means that certain Omnibus Agreement, dated as of the Closing Date, among the General Partner, the Partnership, the Operating Company and certain other parties thereto, as such may be amended, supplemented or restated from time to time.
Relationship Agreement means the relationship agreement between certain members of the Brookfield Group, the Partnership, BBP, the Holding Entities and others dated as of the date hereof;
Transition Agreement has the meaning set forth in Section 12.8.1.
Final Agreement means the agreement signed and ratified by the Parties at the end of Stage 5 of the BCTC Process.
Existing Confidentiality Agreement shall have the meaning set forth in Section 6.6.
Amended Agreement has the meaning set forth in the recitals.
Confidentiality Agreement has the meaning set forth in Section 6.3.
Additional Agreement has the meaning assigned to such term in Article 8.
Existing Term Loan Credit Agreement means that certain Term Loan Credit Agreement, dated as of August 24, 2017, among the Borrower, the lenders from time to time party thereto and Sumitomo Mitsui Banking Corporation, as administrative agent (as amended, restated, supplemented or otherwise modified prior to the Effective Date).
SCM Agreement means the Agreement on Subsidies and Countervailing Measures in Annex 1A to the WTO Agreement;
TRIPS Agreement means the Agreement on Trade-Related Aspects of Intellectual Property Rights;
Consulting Agreements means the consulting agreements to be entered into between the Purchaser (or an Affiliate thereof) and each of Xxxx X. Xxxxxx and Xxxx Xxxxxxxx Xxxxxxx, in a form acceptable to the Parties, acting reasonably;
Existing Agreement has the meaning set forth in the recitals hereto.
Main Agreement means the part of this Agreement that commences on the first page and ends with but includes Schedule A, excluding Section 3(d) (which incorporates this Schedule C into the Agreement).
Service Agreement means the initial agreement and any amendments or supplements thereto entered into by the Transmission Customer and the Transmission Provider for service under the Tariff. Site:
Supply Agreement has the meaning set forth in Section 7.1.
Transitional Services Agreement means that certain Transitional Services Agreement to be entered into at the Closing between Seller or any of its Affiliates on the one hand, and Purchaser, on the other hand, in the form of Exhibit 10.1.236.
Confidentiality Agreements has the meaning set forth in Section 5(d).
Existing Termination Date as defined in Section 2.18.
Consulting Agreement means any written or oral agreement to retain the services, for a fee, of a consultant for the purposes of (A) providing counsel to a contractor, vendor, consultant or other entity seeking to conduct, or conducting, business with the State, (B) contracting, whether in writing or orally, any executive, judicial, or administrative office of the State, including any department, institution, bureau, board, commission, authority, official or employee for the purpose of solicitation, dispute resolution, introduction or requests for information or (C) any other similar activity related to such contracts.
Existing Term Loan has the meaning specified in Section 2.01(b).
