LME Clear definition

LME Clear means LME Clear Limited (registered in England and Wales under company number 07611628); "LME Clear Compliance Department" has the meaning set out in Membership Procedure A 2.1; "LME Clear Data" means:

Examples of LME Clear in a sentence

  • Cleared Contracts are cleared by the LME’s appointed clearing house, LME Clear.

  • In order to maintain the smooth and orderly operation of the market, the LME and LME Clear will carry out a number of pre-trade and post-trade checks.

  • These are set out and detailed on the LME Clear website – see section V of this Disclosure Document.

  • The floating charge could convert to a fixed charge in the event of contract termination, or default or insolvency of LME Clear.

  • On acceptance of LME Clear’s offer by each party, two Cleared Contracts will be formed: one between LME Clear and the seller; another between LME Clear and the buyer.

  • LME Clear will make an offer to each party to the trade: it will offer to act as the buyer to the party who wishes to be the seller, and it will offer to act as the seller to the party who wishes to be the buyer.

  • OTC contracts are not governed by the LME Rules and are not registered with, and/or cleared by, LME Clear.

  • This does not make the Client a party to the Agreed Trade with the other Member (or the resulting Cleared Contract with LME Clear) but does create additional duties and obligations owed by the Member under the Client Contract.

  • Where the Client fails to submit its request in accordance with the LME Clear procedures or porting is not possible in accordance with the LME Clear Rules, the positions in the relevant account may be closed out by LME Clear and assets in the account used to offset any losses in the account.

  • This Rule 5.3.2 shall at all times be subject to the Rule 10.7.8 and the general discretion of LME Clear thereunder.

  • Company Stockholders Meeting has the meaning set forth in Section 6.2(a).

  • Company Shareholders Meeting shall have the meaning set forth in Section 5.2(b).

  • Ontario Settlement Class means the settlement class in respect of the Ontario Action as defined in Schedule A.

  • Company Stockholder Meeting means the meeting of the holders of shares of Company Common Stock for the purpose of seeking the Company Stockholder Approval, including any postponement or adjournment thereof.

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.

  • Special Committee means a committee of the Board of Managers of the Company comprised of two individuals, each of whom qualifies as an Independent Manager.

  • Exchange Agent has the meaning set forth in Section 3.02(a).

  • Company Stockholders means the holders of shares of Company Capital Stock.

  • Personal Securities Transactions means any transaction in a Security pursuant to which an Access Person would have a Beneficial Ownership interest with the exception of obligations of the U.S. Government, bankers’ acceptances, bank certificates of deposit, money market fund shares, commercial paper, high quality short-term debt instruments and registered open-end investment companies, none of which are funds advised or sub-advised by the Firm.

  • Company Shareholder Meeting has the meaning set forth in Section 5.13(b).

  • Virtual Meeting means any general meeting of the Shareholders (or any meeting of the holders of any Class of Shares) at which the Shareholders (and any other permitted participants of such meeting, including without limitation the chairman of the meeting and any Directors) are permitted to attend and participate solely by means of Communication Facilities.

  • SpinCo Shares means the shares of common stock, par value $0.01 per share, of SpinCo.

  • Company Board means the Board of Directors of the Company.

  • Stockholders Meeting shall have the meaning set forth in Section 6.2(c).

  • Rollover Shareholders means each of Expert Master Holdings Limited, Mr. Longhua Piao and UMW China Ventures (L) Ltd.

  • Overseas Shareholders holders of Scheme Shares who are resident in, ordinarily resident in, or citizens of, jurisdictions outside the United Kingdom;

  • Parent Stockholders Meeting has the meaning set forth in Section 6.2(b).

  • Shareholders Meeting shall have the meaning set forth in Section 5.1.

  • Qualifying Equity Interests means Equity Interests of the Company other than Disqualified Stock.

  • Asset Management Company/UTI AMC/AMC/Investment Manager means the UTI Asset Management Company Limited incorporated under the Companies Act, 1956, (1 of 1956) [replaced by The Companies Act, 2013 (No.18 of 2013)] and approved as such by Securities and Exchange Board of India (SEBI) under sub-regulation (2) of Regulation 21 to act as the Investment Manager to the schemes of UTI Mutual Fund.

  • Personal Securities Transaction means any transaction in a Covered Security in which an Access Person has a direct or indirect Pecuniary Interest.

  • Settlement Class Members means a member of a Settlement Class.

  • PASS-THRU ENTITY A "Pass-Thru Entity" as defined in Section 860E(e)(6) of the Code.

  • GSE means a government sponsored enterprise.

  • Rollover Shares has the meaning given in the recitals.

  • Settlement Class Member means a member of a Settlement Class.
