LLC Parent definition

LLC Parent means FC-GEN Operations Investment, LLC.
LLC Parent as defined in the preamble hereto.
LLC Parent has the meaning specified in the recitals to this Agreement.

  • Notwithstanding the foregoing, none of the Initial Surviving Company, Merger LLC, Parent, the Exchange Agent or any other Person shall be liable to any former holder of Shares for any amount properly delivered to a public official pursuant to applicable abandoned property, escheat or similar Laws.

  • The parties acknowledge that Purchaser is an indirect wholly-owned subsidiary of NPC Restaurant Holdings, LLC ("Parent"), which files reports with the Securities and Exchange Commission ("SEC") in order to comply with its obligations under an indenture relating to outstanding debt securities, and that Parent may be required to file with the SEC financial statements and pro forma financial information relating to the operation of the Business prior to the Effective Time.

  • New Parent shall have the meaning assigned to such term in the definition of the term “Change in Control”.

  • SAP Parent means SAP SE, a European Company (Societas Europaea, SE) established under the laws of Germany and the European Union, registered with the commercial register of the local court of Mannheim, Germany, under HRB 719915, with registered office in Walldorf, Germany, and business address at Dietmar-Hopp-Allee 16, 69190 Walldorf, Germany.

  • Seller Parent has the meaning set forth in the Preamble.

  • Ultimate Parent means a Company, which owns not less than fifty-one percent (51%) equity either directly or indirectly in the Parent and Affiliates.

  • Holdings as defined in the preamble hereto.

  • Permitted Parent means (a) any Parent Entity that at the time it became a Parent Entity was a Permitted Holder pursuant to clauses (1), (2) and (3) of the definition thereof; provided that such Parent Entity was not formed in connection with, or in contemplation of, a transaction (other than the Transactions) that would otherwise constitute a Change in Control and (b) Holdings, so long as it is controlled by one or more Persons that are Permitted Holders pursuant to clause (1), (2), (3) or (4) of the definition thereof.

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • Co-Borrower shall have the meaning assigned to such term in the introductory paragraph of this Agreement.

  • Lender Parent means, with respect to any Lender, any Person as to which such Lender is, directly or indirectly, a subsidiary.

  • Intermediate Holding Company means any Subsidiary of Holdings (of which Holdings, directly or indirectly, owns 100% of the issued and outstanding Equity Interests) that, directly or indirectly, owns 100% of the issued and outstanding Equity Interests of the Lead Borrower.

  • Initial Borrower has the meaning set forth in the preamble hereto.

  • Buyer Parent has the meaning set forth in the Preamble.

  • Parent Related Parties means each of Parent, Merger Sub, any of their respective former, current or future equityholders, controlling Persons, limited or general partners, managers, members, Affiliates, directors, officers, employees, agents, attorneys, stockholders, assignees or Representatives.

  • Parent Borrower as defined in the preamble hereto.

  • Intermediate Holdco as defined in the preamble to this Agreement.

  • Acquisition Sub shall have the meaning set forth in the Preamble.

  • Purchaser Parent has the meaning set forth in the preamble to this Agreement.

  • OpCo has the meaning set forth in the Preamble.

  • MLP has the meaning given such term in the introduction to this Agreement.

  • Merger Subsidiary has the meaning set forth in the preamble to this Agreement.

  • GP means Gottbetter & Partners, LLP.

  • Intermediate Parent means any Subsidiary of Holdings and of which the Borrower is a subsidiary.
