LLC Group is defined in the recitals to this Agreement.

LLC Group means the LLC and each of its direct or indirect Subsidiaries that is treated as a partnership or disregarded entity for applicable tax purposes (but excluding any such Subsidiary to the extent it is directly or indirectly held by any entity treated as a corporation for applicable tax purposes (other than the Corporation)).

Examples of LLC Group in a sentence

  • However, subject to the confidentiality obligations of DBS to the LLC Group hereunder, this restriction will not preclude DBS from using general concepts, know-how and ideas used or developed in the course of performing its obligations under this Agreement.

  • Each member of the LLC Group is relying on DBS's technical expertise in recommending equipment that is appropriate for such member's use of the equipment in connection with the System.

  • If tax laws change after the execution of this Agreement so that any member of the LLC Group is required to pay any new non-refundable taxes to a tax authority on payments made to DBS under this Agreement, any member of the LLC Group can require the other parties to commence negotiations on an adjustment of this Agreement in order to minimize the tax detriment to the members of the LLC Group.

  • Each member of the LLC Group will hold DBS harmless from any claim asserted against DBS by such other party's respective personnel or subcontractors for personal injury or damage to property incurred while such personnel are at DBS's or an Affiliate's facilities in connection with this Agreement unless the harm was the result of intentional misconduct or gross negligence on the part of DBS or its Affiliate.

  • Except for claims which DBS may assert directly against the Development Parties as set forth in Clause 9.6, DBS can assert claims under this Agreement only against the relevant member of the LLC Group.

Related to LLC Group

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Partnership Subsidiary means Host LP and any partnership, limited liability company, or other entity treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes in which either Host REIT or Host LP owns (or owned on or after January 1, 1999) an interest, either directly or through one or more other partnerships, limited liability companies or other entities treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes (whether or not Host REIT or Host LP has a controlling interest in, or otherwise has the ability to control or direct the operation of, such entity). Notwithstanding the foregoing, the term “Partnership Subsidiary” shall not in any way be deemed to include the Non-Controlled Subsidiaries or subsidiaries thereof, the Taxable REIT Subsidiaries or subsidiaries thereof, or the Subsidiary REITs or subsidiaries thereof.

  • Partnership Group means the Partnership and its Subsidiaries treated as a single consolidated entity.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Retained Group means the Seller, its subsidiaries and subsidiary undertakings from time to time, any holding company of the Seller and all other subsidiaries or subsidiary undertakings of any such holding company (except members of the Group);

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • Partner Group means any legal entity that has direct or indirect Control over the Partner and only as long as that legal entity maintains direct or indirect Control (“Parent Companies”) as well as all Associated Companies of the Parent Companies.

  • Affiliated Group means any affiliated group within the meaning of Code Section 1504(a) or any similar group defined under a similar provision of state, local or foreign law.

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • Designated Group means - i) Black designated groups; ii) Black People; iii) Women; iv) people with disabilities or v) Small enterprise, as defined in Section 1 of National Small Enterprise Act, (102 of 1996)

  • HSBC Group means HSBC Holdings plc, its affiliates, subsidiaries, associated entities and any of their branches and offices (together or individually), and “member of the HSBC Group” has the same meaning.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • Minority Group means any of the following racial or ethnic groups:

  • Distribution Company means a distribution company as defined in Section 1 of Chapter 164 of the Massachusetts General Laws.3

  • VAT Group means a group for the purposes of the VAT Grouping Legislation.
