In carrying out a Liquidation, the Selling Agent will act in good faith and subject as provided above will sell to or otherwise realise Fiduciary Assets at a price which it reasonably believes to be representative of the price available in the market for the sale of the Fiduciary Assets in the appropriate size taking into account the length of the Liquidation Period and the Fiduciary Assets to be sold during that Liquidation Period.
If the Selling Agent is unable to liquidate all or part of the Fiduciary Assets within the Liquidation Period, the relevant price of such unrealised Fiduciary Assets shall be deemed to be zero.
The Partnership expects to conduct its activities for at least six years and divide the Partnership’s life into three distinct stages: (i) the Offering Period, (ii) the Operating Period and (iii) the Liquidation Period.
The Liquidation Period, which follows the conclusion of the Operating Period, is the period in which the Partnership will sell its assets in the ordinary course of business and will last two years, unless it is extended, at the sole discretion of the General Partner.
However, in seeking to terminate the Fund in shareholders’ best interests the Fund may not always be compliant with its investment objective and policy or with the UCITS rules during the Liquidation Period (notably in the days immediately preceding the Effective Date) as it may be necessary to begin selling down Assets.
