Licensor Material definition

Licensor Material means reference standard for the Compound and reference material for Compound impurities.
Licensor Material means the marketing material pertaining to Licensor and the Programs provided by Licensor to Partner.
Licensor Material or “WorkPro Material” means all material provided to you by WorkPro prior to and during your operation of the Licensed Services, including all software, guides, any material setting out or supplementing Terms of Service and any other written communications that are commercially sensitive to WorkPro.

  • Partner shall not undertake any action in response to any infringement or misappropriation, or alleged infringement or misappropriation of the Licensor Material that is prejudicial to Licensor’s rights.

  • Partner agrees that it will not submit the Licensor Material to any government agency for licensing consideration or other regulatory approval without the prior written consent of Licensor.

  • Licensor expressly reserves the right to cease such defense of any claim(s) in the event the Licensor Material is no longer alleged to infringe or misappropriate, or is held not to infringe or misappropriate, the third party’s rights.

  • Licensor may settle any claim on a basis requiring Licensor to substitute for the Licensor Material alternative substantially equivalent non-infringing services.

  • This obligation of Licensor shall not apply if the alleged infringement or misappropriation results from use of the Licensor Material in conjunction with any other software or service (including Cloud Application) if such claim could have been avoided without such Combination Use, or unlicensed activities or use of the Licensor Material in violation of the Agreement or to free (no fee) or trial licenses of the Licensor Material.

  • Ownership of all the licenses purchased hereunder and risk of loss for the related Licensor Materials shall be deemed to have passed to Licensee on the date (the “Delivery Date”) that Licensor has made the Licensor Material available for download by Licensee, notified Licensee of the availability of the Licensor Material for download and provided Licensee with all license keys, if any, necessary for the installation and operation of the Software.

  • All Licensor Material shall be delivered by Licensor to you via electronic delivery using a secure internet download site.

  • Licensor also represents and warrants that the Licensor Material does not violate third parties’ rights, in particular no personality rights, copyrights, trademarks or other intellectual property rights.

  • This obligation of Licensor shall not apply if the alleged infringement or misappropriation results from use of the Licensor Material in conjunction with any other software or service (including Cloud Application) if such claim could have been avoided without such Combination Use, or unlicensed activities or use of the Licensor Material in violation of the Agreement or to free (no fee) or trial licenses of the Licensor Material .

  • ASM Asia Recovery Fund (“ AARF”) is a majority shareholder of AARMF.

Related to Licensor Material

  • Third Party Material means software, software development tools, methodologies, ideas, methods, processes, concepts and techniques owned by, or licensed to a third party and used by the Service Provider in the performance of the Services;

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the Court Materials or Confidential Information.

  • Licensor Know-How means any and all Know-How that (a) is Controlled by Licensor or any of its Affiliates as of the Effective Date or at any time thereafter during the Term and (b) pertains to the Manufacture, use or sale of Licensed Products, including Research Inventions (other than Research Patents).

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Supplier Materials has the meaning set out in clause 8.1(g);

  • Third Party Materials means any materials and information, including documents, data, know-how, ideas, methodologies, specifications, software, content, and technology, in any form or media, in which any Person other than the State or Contractor owns any Intellectual Property Right, but excluding Open-Source Components.

  • Biological Material means any material containing genetic information and capable of reproducing itself or being reproduced in a biological system;

  • Licensed Know-How means all Know-How that (a) is Controlled by Pfizer or any of its Affiliates as of the effective date of the Pfizer-MPP Agreement, (b) directly relates to the use of the Compound, Product or Licensed Product in the Field, and (c) is not in the public domain or otherwise generally known. For the avoidance of doubt, (i) Licensed Know-How shall not include any Know-How to the extent solely and directly related to any other Pfizer compound or to the extent related to the use of the Compound, Product or Licensed Product outside the Field and (ii) Licensed Know-How includes only that Know-How, designated by Pfizer in its sole discretion, necessary for the manufacture, registration and commercialization of the Compound and/or Licensed Product for use in the Field. For the avoidance of doubt, Licensed Know-How excludes any Know-How related to ritonavir that has been (either as of the Effective Date or at any time during the term of this Agreement) in-licensed by Pfizer from any Third Party.

  • Licensor Technology means the Licensor Patents, the Licensor Know-How, Licensor Materials, Product IP, and Licensor’s rights in the Program IP and Joint Patents.

  • Licensee Know-How means all Information that is: (a) Controlled by Licensee or its Affiliates as of the Effective Date or during the Term that is not publicly known, even though parts thereof may be known, and (b) necessary to develop, make, have made, use, sell, offer to sell, have sold, import or export the Product. “Licensee Know-How” does not include Licensee Patent Rights.

  • Licensed Technology means the Licensed Know-How and Licensed Patents.

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

  • Controlled technical information means technical information with military or space application that is subject to controls on the access, use, reproduction, modification, performance, display, release, disclosure, or dissemination. Controlled technical information would meet the criteria, if disseminated, for distribution statements B through F using the criteria set forth in DoD Instruction 5230.24, Distribution Statements on Technical Documents. The term does not include information that is lawfully publicly available without restrictions.

  • Cover material means soil placed over a soil dispersal component composed predominately of mineral material with no greater than ten percent organic content. Cover material may contain an organic surface layer for establishing a vegetative landscape to reduce soil erosion.

  • Biological Materials means certain tangible biological materials that are necessary for the effective exercise of the Patent Rights, which materials are described on Exhibit A, as well as tangible materials that are routinely produced through use of the original materials, including, for example, any progeny derived from a cell line, monoclonal antibodies produced by hybridoma cells, DNA or RNA replicated from isolated DNA or RNA, recombinant proteins produced through use of isolated DNA or RNA, and substances routinely purified from a source material included in the original materials (such as recombinant proteins isolated from a cell extract or supernatant by non-proprietary affinity purification methods). These Biological Materials shall be listed on Exhibit A, which will be periodically amended to include any additional Biological Materials that Medical School may furnish to Company.

  • Publicity Material means the promotional gifts, catalogues, pamphlets and all and any advertising and publicity material whatsoever which an Exhibitor wishes to display, distribute or use at the Exhibition.

  • Product Know-How means Know-How

  • Byproduct material means any radioactive material (except Special Nuclear Material) yielded in, or made radioactive by, exposure to the radiation incident to the process of producing or utilizing Special Nuclear Material.

  • Input Material means all documents, information, representations, statements and materials provided by Customer or a third party on behalf of Customer, relating to the Services, including computer programs, data, logos, reports and specifications and inventories.

  • Fertilizer material means a commercial fertilizer that either:

  • Technical Information means technical data or computer software, as those terms are defined in the clause at DFARS 252.227-7013, Rights in Technical Data-Noncommercial Items, regardless of whether or not the clause is incorporated in this solicitation or contract. Examples of technical information include research and engineering data, engineering drawings, and associated lists, specifications, standards, process sheets, manuals, technical reports, technical orders, catalog-item identifications, data sets, studies and analyses and related information, and computer software executable code and source code.

  • Charcoal lighter material means any combustible material designed to be applied on, incorporated in, added to, or used with charcoal to enhance ignition. “Charcoal Lighter Material” does not include any of the following: (A) electrical starters and probes, (B) metallic cylinders using paper tinder, (C) natural gas, (D) propane, and (E) fat wood.

  • Third Party Technology means all Intellectual Property and products owned by third parties and licensed pursuant to Third Party Licenses.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.

  • Licensed Information means any information concerning the Licensed Program, which is owned by the Licensor and is licensed to the Licensee together with the Licensed Program. Licensed Information includes such information as input form, user manual, interface format and input/output format and is delivered to and used by the Licensee as confidential information or proprietary property of the Licensor.
