Licensing Transaction definition

Licensing Transaction has the meaning set forth in Section 12.3(d)(ii)(C).
Licensing Transaction means (a) a license to a Third Party of any of the APL Restricted Intellectual Property in the US or Europe, (b) a sublicense to a Third Party of any of the APL Restricted Intellectual Property in the US or Europe or (c) a sale or transfer to a Third Party of any of the APL Restricted Intellectual Property in the US or Europe or an assignment of either of the Penn Licenses to a Third Party.
Licensing Transaction means a transaction, approved by Borrower’s Board of Directors (including the affirmative vote of at least one director designated by Lender), by which Borrower licenses, controls or otherwise gains rights to a Product.

Examples of Licensing Transaction in a sentence

  • Without the consent of the Representative, the Company shall not amend, modify, waive or terminate any provision of any of the lock-up agreements entered into in connection with the Licensing Transaction except to extend the term of the lock-up period and shall enforce the provisions of the lock-up agreements in accordance with their terms.

  • The termination of the Licensing Transaction will be effective as of the date of the court approval.

  • Any portion of the Intellectual Property Collateral that is licensed pursuant to a Permitted Licensing Transaction shall be automatically excluded from the Negative Pledge Agreement, effective immediately prior to Borrower’s entering into such Permitted Licensing Transaction.

  • For the avoidance of doubt, this Section 2.02(c) shall not apply to any Disposition consisting of a Permitted Licensing Transaction.

Licensing Transaction means a potential brand licensing transaction contemplated between the Company and a third party. For greater certainty, the Licensing Transaction does not include any brand licensing transactions to be agreed upon by the Company and Palo Verde. See "Consolidated Capitalization";
Licensing Transaction means: (a) a license or sublicense from Stealth to a ThirdParty under any of the Stealth Intellectual Property with respect to the Product for the Designated Indications in the United States; or (b) a sale or transfer to a Third Party of any of the Stealth Intellectual Property, in each case, other than in conjunction with a permitted assignment of this Agreement pursuant to Section 11.5 in connection with the sale or other transfer of all or substantially all of its business or assets to which this Agreement relates.For the avoidance of doubt, a royalty finance or similar agreement with respect to the Product for the Designated Indications in the United States that does not involve the license or transfer of the Stealth Intellectual Property is not a Licensing Transaction.
Licensing Transaction means: (a) a license or sublicense from Stealth to a Third Party under any of the Stealth Intellectual Property with respect to the Product for the Designated Indications in the United States; or (b) a sale or transfer to a Third Party of any of the Stealth Intellectual Property, in each case, other than in conjunction with a permitted assignment of this Agreement pursuant to Section 11.5 in connection with the sale or other transfer of all or substantially all of its business or assets to which this Agreement relates. For the avoidance of doubt, a royalty finance or similar agreement with respect to the Product for the Designated Indications in the United States that does not involve the license or transfer of the Stealth Intellectual Property is not a Licensing Transaction.
Licensing Transaction means any transaction pursuant to which the Borrower (as licensor) receives a single cash payment at the start of the transaction in consideration for granting a licence of intellectual property rights to a person which is not a Subsidiary of the Borrower (as licensee)
Licensing Transaction means: (a) a license or sublicense to a Third Party under any of the PB Intellectual Property to Commercialize the Product in the US, Designated European Countries, or Designated Asian Countries (other than, in the case of a Third Party CMO, a license or sublicense to commercially manufacture PB2452 or the Product on behalf of PB or its Affiliates, without any license or sublicense to engage in any other Commercialization activities with respect to the Product); or (b) a sale or transfer to a Third Party of any of the PB Intellectual Property, in each case, other than in conjunction with a permitted assignment of this Agreement pursuant to Section 15.6 in connection with the sale or other transfer of all or substantially all of its business or assets to which this Agreement relates. For clarity, an assignment of the AZ License to a Third Party in conjunction with a permitted assignment by PB of this Agreement pursuant to Section 15.6 in connection with the sale or other transfer of all or substantially all of its business or assets to which this Agreement relates shall not be deemed a Licensing Transaction.
Licensing Transaction means the out-licensing of the commercialization rights of the Borrower for its plasma-derived therapeutics designated as RYPLAZIM™ (plasminogen).
